Os presentes Termos e Condições Negociais aplicam-se aos leilões online de bens móveis organizados pela sociedade comercial Praças Abstratas, Lda., através da leiloeira TAGUS Art Auctioneers, doravante designada TAGUS, com estabelecimento comercial na Tv. do Convento de Jesus, 16-A, 1200-126 Lisboa, Portugal.
I. DISPOSIÇÕES GERAIS
Artigo 1.º - Enquadramento
A TAGUS rege a sua atividade de acordo com o disposto no Decreto-Lei n.º 155/2015, de 10 de agosto, que estabelece o regime jurídico da atividade leiloeira, bem como nos presentes Termos e Condições Negociais e noutros que sejam individualmente fixadas antes da realização de cada leilão.
Artigo 2.º - Funcionamento do Website e Catálogos dos Leilões
1. A TAGUS organiza os leilões online no website tagusart.com , no qual são disponibilizados em versão digital os catálogos com imagens fotográficas e descrição dos bens que compõem cada lote para venda.
2. A visualização das imagens fotográficas dos lotes nos catálogos não dispensa a observação direta dos bens ali representados nas instalações da TAGUS, durante o horário de funcionamento, com o objetivo de conferir a conformidade do bem reproduzido em fotografia com o seu original.
3. A descrição dos bens constante dos catálogos, incluindo a sua natureza, autoria, origem, época, estado de conservação e materiais, deve ser entendida como opinião da TAGUS, não se substituindo a uma avaliação individual do interessado sobre estes aspetos.
4. Nos leilões online que organiza, a TAGUS pode permitir a participação de utilizadores registados noutras plataformas geridas por terceiros.
5. A TAGUS não controla, nem garante, que a utilização da plataforma dos leilões online por parte dos utilizadores registados seja feita em conformidade com os presentes Termos e Condições Negociais, pelo que não pode ser responsabilizada, em caso algum, por danos e prejuízos que derivem de incorreta utilização do mesmo por parte dos utilizadores registados.
6. A plataforma disponibilizada pela TAGUS para realização dos leilões online opera de forma automatizada, pelo que, não pode igualmente a TAGUS ser responsabilizada por eventuais danos derivados de quaisquer falhas técnicas ou problemas de funcionamento do website, que afetem os utilizadores registados.
7. No caso de se verificar um problema de funcionamento do website num leilão online, a TAGUS pode, sem para tal ficar obrigada, repetir o leilão afetado ou recolocar os bens afetados em novo leilão.
Artigo 3.º - Dados Pessoais
1. A TAGUS é a entidade responsável pelo tratamento dos dados pessoais fornecidos pelos Vendedores e Compradores nos termos da legislação aplicável, nomeadamente o Regulamento (UE) n.º 679/2016, de 27 de abril (Regulamento Geral de Proteção de Dados) e a Lei n.º 58/2019, de 8 de agosto..
2. Os dados pessoais facultados pelo Vendedor ou pelo Comprador são processados pela TAGUS para cumprimento de obrigações legais e contratuais, bem como para fins informativos e publicitários inerentes à atividade leiloeira da TAGUS.
3. O Vendedor ou o Comprador consentem expressamente no processamento dos seus dados pessoais fornecidos com o propósito enunciado no número anterior.
4. Os dados pessoais do Vendedor ou do Comprador recolhidos pela TAGUS são confidenciais e não podem ser facultados a terceiros, salvo consentimento expresso do seu titular.
5. O Vendedor ou o Comprador têm o direito de acesso aos seus dados pessoais, podendo requerer a sua alteração, retificação ou eliminação, através do website https://tagusart.com, por correio eletrónico para o endereço [email protected] ou por carta registada, com aviso de receção, para o endereço da TAGUS, na Tv. do Convento de Jesus, 16-A, 1200-126 Lisboa - Portugal.
II. CONDIÇÕES RELATIVAS AOS VENDEDORES
Artigo 4.º - Contrato
1. Entre a TAGUS e o Vendedor é obrigatoriamente celebrado um contrato de prestação de serviços, doravante designado por contrato.
2. O contrato é reduzido a escrito e inclui, obrigatoriamente, os seguintes elementos:
a) A identificação da TAGUS com indicação da sua sede, número de pessoa coletiva, nome e número de identificação fiscal dos seus representantes legais;
b) A identificação do Vendedor e, se for o caso, do seu representante com poderes para o efeito, com menção do nome, residência, número de identificação civil e fiscal;
c) A descrição sumária dos bens a submeter a leilão;
d) O valor base de cada bem, ou seja, o valor mínimo de venda do bem acordado pelas partes;
e) A comissão devida pelo Vendedor à TAGUS pela venda dos bens;
f) A identificação discriminada de outros serviços a prestar pela TAGUS, tais como catalogação, seguro, limpeza, restauro, certificados ou outros documentos exigidos por lei;
g) A declaração do Vendedor ou do seu representante, de conhecimento e aceitação dos presentes Termos e Condições Negociais.
3. O contrato dura por tempo indeterminado, cessando a sua vigência com o pagamento da conta de venda ou a devolução dos bens ao Vendedor pela TAGUS, consoante o caso.
4. A vigência do contrato pode, ainda, cessar:
a) Por mútuo acordo;
b) Nos casos expressamente previstos nos presentes Termos e Condições Negociais;
c) Por resolução unilateral com justa causa.
Artigo 5.º - Alterações ao Contrato
O contrato pode ser alterado por mútuo acordo e por escrito, sem prejuízo de a TAGUS poder modificar a descrição e/ou aumentar o valor base dos bens constantes do contrato, assim como estabelecer livremente o número de bens a colocar em cada lote, no catálogo onde venham a ser incluídos esses bens.
Artigo 6.º - Garantias e obrigações do Vendedor
1. O Vendedor garante ter capacidade e legitimidade para contratar e, em especial, ser o proprietário e legítimo possuidor dos bens, que os mesmos se encontram livres de ónus, encargos ou restrições determinados por entidades administrativas ou judiciais.
2. Se, na vigência do contrato, o Vendedor for notificado ou de alguma forma tomar conhecimento de um procedimento tendente à criação de ónus, encargos ou restrições sobre os bens ou que qualquer terceiro arroga um direito sobre estes, deve informar tal facto à TAGUS, de imediato e por escrito.
3. O Vendedor compromete-se a não retirar os bens consignados para venda em leilão, após a data de assinatura do respetivo contrato.
4. No caso de os bens não ficarem na posse da TAGUS, o Vendedor assume perante esta e o Comprador a obrigação de colocar os bens à disposição do Comprador logo que este o solicite.
5. A TAGUS reserva-se o direito de solicitar, a todo o tempo, a apresentação de documentos comprovativos da propriedade dos bens ao Vendedor.
6. O Vendedor assume a obrigação de indemnizar a TAGUS, seus representantes, trabalhadores ou colaboradores, bem como bem o Comprador, por qualquer dano ou prejuízo que sofram em consequência do incumprimento das disposições previstas nos números anteriores.
Artigo 7.º - Responsabilidade da TAGUS pelo depósito. Seguro
1. Salvo estipulação em contrário, a TAGUS apenas se responsabiliza pelos bens depositados nas suas instalações que estejam abrangidos por contrato devidamente assinado pelas partes nos termos do artigo 4.º, ou que lhe tenham sido formalmente confiados para efeitos de avaliação, ou outros.
2. A responsabilidade da TAGUS por eventuais perdas ou danos, incluindo furto ou roubo, que possam ocorrer em bens abrangidos por contrato e/ou bens que lhe tenham sido formalmente confiados, está coberta por seguro, nos seguintes termos:
a) No caso de bens abrangidos por contrato, pelo valor base;
b) No caso de bens formalmente confiados, para efeitos de avaliação ou outros, pelo valor de avaliação fixado unilateralmente pela TAGUS.
3. Todos os bens seguros pela TAGUS têm uma franquia de 1% sobre o valor base por sinistro, pelo que, quaisquer indemnizações que ocorram terão sempre a aplicação da referida franquia.
4. O seguro vigora até que a titularidade dos bens deixe de pertencer ao Vendedor ou até que este deva proceder ao seu levantamento.
5. A TAGUS não pode, em caso algum, ser responsabilizada por danos resultantes do simples manuseamento de bens em mau estado de conservação.
6. Se os bens não forem vendidos e o Vendedor não proceder ao seu levantamento no prazo estabelecido, após este prazo o Vendedor será o único responsável pelos bens e a TAGUS ou qualquer seu representante, trabalhador ou colaborador, não poderá ser responsabilizada por qualquer perda ou dano, incluindo a título de negligência..
Artigo 8.º - Responsabilidade do Vendedor pela posse
Quaisquer perdas ou danos, incluindo furto ou roubo, que ocorram num bem enquanto este estiver na posse do Vendedor, mesmo após a assinatura do contrato, são da sua inteira e exclusiva responsabilidade, ficando este obrigado a indemnizar a TAGUS e/ou o Comprador por todos os danos e prejuízos sofridos.
Artigo 9.º - Responsabilidade do Vendedor pelo transporte
O transporte dos bens para depósito nas instalações da TAGUS, bem como o seu posterior levantamento e transporte em caso de não venda, é da inteira responsabilidade do Vendedor.
Artigo 10.º - Venda de bens sujeitos a regime especial – Contrastaria e CITES
1. Os bens constituídos por metais preciosos colocados em venda pela TAGUS observam o disposto no Regime Jurídico da Ourivesaria e das Contrastarias (RJOC), aprovado pela Lei n.º 98/2015, de 18 de agosto, alterada pelo Decreto-Lei n.º 120/2017, de 15 de setembro, e demais legislação aplicável, devendo estar devidamente contrastados sempre que tal for legalmente exigível.
2. Compete ao Vendedor apresentar os bens constituídos por metais preciosos devidamente contrastados pela Imprensa Nacional-Casa da Moeda, S.A. (INCM), antes da sua colocação em leilão, sempre que tal seja exigido por lei.
3. Os bens que incorporem materiais de espécies da fauna e flora selvagens protegidas, colocados em venda pela TAGUS, devem ser previamente certificados em conformidade com as disposições da Convenção sobre o Comércio Internacional das Espécies de Fauna e Flora Selvagens Ameaçadas de Extinção (CITES), ratificada por Portugal em 1980, e do Decreto-Lei n.º 121/2017, de 20 de setembro, que estabelece a sua aplicação em território nacional, adaptando-a às alterações dos Regulamentos (CE) n.ºs 338/97 e 865/2006.
4. Compete ao Vendedor de bens que incorporem materiais de espécies da fauna e flora selvagens protegidas, tais como marfim, tartaruga ou coral, entre outras, apresentar o respetivo certificado emitido pelo Instituto da Conservação da Natureza e das Florestas (ICNF), antes da sua colocação em leilão, sempre que tal seja exigido por lei.
5. Caso seja acordado entre o Vendedor e a TAGUS, esta poderá tratar dos procedimentos junto da INCM e/ou do ICNF, consoante o caso, comprometendo-se o Vendedor a entregar e assinar os documentos necessários, bem como a pagar à TAGUS as correspondentes despesas de acordo com o preçário em vigor.
Artigo 11.º - Organização de lotes
Compete à TAGUS organizar a lista de lotes para venda em leilão, com imagens fotográficas e respetivo valor base, podendo cada lote integrar um ou mais bens do Vendedor.
Artigo 12.º - Conta de venda
1. A conta de venda é remetida pela TAGUS ao Vendedor e resume o resultado dos lotes vendidos em leilão.
2. O Vendedor autoriza a TAGUS a deduzir ao valor da venda dos lotes:
a) A comissão de venda que lhe é devida nos termos do contrato, acrescida de IVA à taxa legal;
b) O montante dos serviços e outras despesas previstos no contrato, acrescido de IVA à taxa legal.
3. No caso de não venda do lote, no termo do contrato a TAGUS debita ao Vendedor apenas o montante dos serviços e outras despesas nele previstos.
Artigo 13.º - Compensação
Se o Vendedor dever à TAGUS qualquer quantia enquanto Comprador de outros bens, autoriza expressamente a TAGUS a deduzir essa quantia à conta de venda, operando nessa medida a compensação entre os créditos existentes.
Artigo 14.º - Liquidação da conta de venda
1. No caso de venda do(s) lote(s), a TAGUS procede ao pagamento da conta de venda ao Vendedor, mensalmente, entre os dias 25 e 30 de cada mês.
2. Se o Comprador não proceder ao pagamento do lote no prazo estabelecido, o pagamento da conta de venda ao Vendedor terá lugar no prazo de 5 (cinco) dias úteis a contar da data em que aquele montante for efetivamente recebido pela TAGUS.
3. Em caso de incumprimento por parte do Comprador, a TAGUS deve decidir em conjunto com o Vendedor qual a conduta mais adequada a tomar para obter o pagamento por parte do Comprador.
4. Se, no caso concreto, não for possível a TAGUS obter instruções do Vendedor relativamente à conduta a adotar, o Vendedor autoriza expressamente a TAGUS a procurar acordar condições especiais de pagamento do montante em dívida, remover, armazenar ou segurar o lote vendido, resolver retenções formuladas pelo ou contra o Comprador nos termos que julgar mais convenientes à cobrança de importâncias devidas pelo Comprador ao Vendedor e, se necessário, proceder à resolução do contrato, devolver montantes ao Comprador ou adotar quaisquer das medidas previstas no Artigo 29.º.
Artigo 15.º - Obra de arte original. Direito de sequência
1. Se o bem vendido constituir uma obra de arte original, o autor da obra, que não seja o Vendedor, tem direito, nos termos do artigo 54.º do Código do Direito de Autor e dos Direitos Conexos (na redação que lhe foi dada pela Lei n.º 92/2019, de 4 setembro), a uma participação sobre o valor obtido na venda, livre de impostos.
2. Neste caso, o pagamento da participação é da responsabilidade do Vendedor da obra de arte original, o qual se compromete a reter tal quantia e entregá-la ao autor ou, se for o caso, aos herdeiros do autor, a solicitação destes ou de quem validamente os represente.
3. No caso de o autor da obra de arte original, seus herdeiros ou quem validamente os represente contactar a TAGUS com vista ao pagamento da participação referida nesta cláusula, a TAGUS prestará informação sobre os dados de contacto do Vendedor e dos termos em que se processou a venda, para que o autor possa exercer o seu direito legal junto do mesmo.
Artigo 16.º - Bens não vendidos
1. No caso de não venda de um lote, e após o pagamento da respetiva conta de venda, o Vendedor deve optar, no prazo de 7 (sete) dias após a notificação, por:
a) Aceitar a reposição do lote não vendido, num leilão subsequente que a TAGUS venha a realizar, com um valor mínimo de venda até 30% abaixo do valor base; ou
b) Proceder ao levantamento do lote mediante o pagamento das despesas devidas nos termos do contrato, sem direito a qualquer compensação ou indemnização pelo facto da não venda do bem.
2. Se a Tagus considerar que o lote não vendido deverá ser recolocado em leilão por valor mínimo de venda superior a 30% abaixo do valor base, deverá obter prévia autorização do Vendedor.
3. Após a terceira tentativa de venda frustrada nos termos da alínea a) do número anterior, pode a Tagus solicitar ao Vendedor o levantamento dos bens não vendidos nos termos do artigo 17.º.
4. No silêncio do Vendedor após a notificação prevista no n.º 1, a TAGUS procederá pela ordem ali indicada, repondo o bem à venda em leilões seguintes e, verificando-se a terceira tentativa de venda frustrada, o Vendedor obriga-se a proceder ao levantamento do bem, cessando o contrato celebrado com a TAGUS.
Artigo 17.º - Prazo de levantamento de bens não vendidos
Caso o Vendedor opte por proceder ao levantamento do bem não vendido, deve fazê-lo nas instalações da TAGUS, no prazo de 15 (quinze) dias a contar da data em que comunicou à TAGUS a sua decisão.
Artigo 18.º - Venda fora de leilão
1. A TAGUS reserva-se o direito de proceder à venda de um lote retirado de leilão por falta de licitação, pelo valor base acordado, a todo o tempo, até efetivo levantamento do bem pelo Vendedor, salvo se este indicar de forma expressa no contrato que apenas pretende vender o bem em leilão.
2. À venda, nos termos do número anterior, aplicam-se as condições de venda estabelecidas no contrato.
Artigo 19.º - Incumprimento do prazo de levantamento
1. Decorrido o prazo referido no artigo 17.º sem que o bem tenha sido levantado pelo Vendedor, considera-se invertido o título da posse sobre o bem, para todos os efeitos legais, ficando o Vendedor responsável pela perda ou dano, incluindo furto ou roubo, que possa ocorrer no bem, não podendo a partir dessa data nem a TAGUS, nem os seus representantes, trabalhadores ou colaboradores ser responsabilizados por essa eventualidade.
2. O Vendedor ficará igualmente responsável por todas as despesas de remoção, armazenamento ou seguro do bem a que haja lugar, nos termos do preçário em vigor.
Artigo 20.º Exames e Peritagens
1. A TAGUS reserva-se o direito de, a todo o tempo, efetuar ou mandar efetuar exames e/ou peritagens ao bem, para verificação da respetiva descrição constante do contrato.
2. No caso de tais exames ou peritagens permitirem concluir que o contrato não se encontra materialmente correto, poderá a TAGUS denunciá-lo ou resolvê-lo e, no caso de o Vendedor ter atuado com dolo ou negligência grosseira na negociação e celebração do contrato, deverá indemnizar a TAGUS pelos danos e prejuízos por esta sofridos, incluindo o dano de imagem no caso de a venda do bem já ter sido publicitada; poderá ainda a TAGUS resolver o contrato com efeitos imediatos, de forma fundamentada, sem que por isso tenha o Vendedor direito a qualquer indemnização, no caso de tais exames ou peritagens não se revelarem conclusivos mas, ainda assim, subsistirem para a TAGUS fundadas dúvidas sobre a correção material do contrato.
Artigo 21.º - Incumprimento do Vendedor
Em caso de incumprimento por parte do Vendedor das respetivas obrigações emergentes do contrato, incluindo, designadamente, a obrigação de disponibilizar o bem à TAGUS, poderá esta notificar o Vendedor para sanar o incumprimento em prazo razoável e útil, findo o qual, se a situação de incumprimento persistir, a TAGUS terá o direito de resolver o contrato com efeitos imediatos, tendo ainda direito a reclamar do Vendedor, a título de cláusula penal, uma quantia correspondente às comissões que seriam devidas por Vendedor e Comprador em caso de venda do bem pelo valor base estipulado no contrato, acrescida de quaisquer outras quantias devidas pelo Vendedor ao abrigo do contrato e sem prejuízo de um eventual dano excedente.
III. CONDIÇÕES RELATIVAS AOS COMPRADORES
Artigo 22.º - Registo online
1. Para poder registar-se no website da TAGUS - https://tagusart.com - e licitar nos leilões, o potencial Comprador deve ser maior de idade, preencher obrigatoriamente os campos relativos ao seu nome, morada, número de identificação fiscal, contacto telefónico e e-mail, e declarar conhecer e aceitar os presentes Termos e Condições Negociais.
2. A palavra-passe e demais meios de autenticação definidos aquando do registo no website da TAGUS devem ser mantidos confidenciais pelo utilizador, responsabilizando-se este por qualquer acesso não autorizado à respetiva conta.
3. A TAGUS reserva-se o direito de suspender ou cancelar o registo, ou ignorar uma qualquer licitação, de quem não tiver cumprido as suas obrigações em leilões anteriores, designadamente de pagamento e levantamento de lotes comprados, ou a quem tiver prestado informações falsas ou incorretas.
4. O cancelamento do registo pode ser efetuado a todo o tempo pelo utilizador, mediante o envio de mensagem de correio eletrónico para o endereço [email protected].
Artigo 23.º - Prova da identificação
A TAGUS pode solicitar, a todo o tempo, a apresentação de um documento de identificação válido e em vigor ao potencial Comprador.
Artigo 24.º - Exigência de garantia
A TAGUS reserva-se igualmente o direito de, no acto de registo ou em momento posterior, solicitar a qualquer potencial Comprador a apresentação de uma garantia que a TAGUS considere razoável, tanto quanto à forma como ao montante.
Artigo 25.º - Licitações. Compra
1. São aceites licitações de valor igual ou superior ao valor base de cada lote.
2. As licitações online para um determinado lote são automaticamente executadas pela TAGUS ao melhor valor permitido por quaisquer outras licitações online eventualmente recebidas para o mesmo lote.
3. Os incrementos dos lances online obedecem à seguinte tabela:

4. Havendo licitações de valor coincidente nas diversas plataformas, prevalece a licitação que for submetida na plataforma da TAGUS, cabendo à TAGUS decidir em caso de dúvida.
5. As licitações online recebidas e aceites pela TAGUS são confidenciais.
6. O potencial Comprador aceita que as suas licitações no website da TAGUS, uma vez aceites, são definitivas e não podem, por qualquer meio, ser anuladas ou revogadas, não sendo a TAGUS responsável por quaisquer erros ou falhas que ocorram na licitação online por parte do Comprador.
7. O Comprador será aquele que licite e compre o lote pelo valor mais alto, sem prejuízo da possibilidade de exercício de preferência ou opção por entidades oficiais, nos termos da legislação em vigor.
8. No caso de um leilão sequencial temporizado, sempre que se verifiquem licitações durante os últimos 2 minutos que antecedem a hora de fecho do leilão de um lote em licitação, serão adicionados mais 2 minutos à hora de fecho do leilão desse mesmo lote e assim sucessivamente. O leilão terminará quando ninguém mais licitar.
Artigo 26.º - Ofertas máximas
1. As ofertas máximas registadas pelos licitantes não são divulgadas pela TAGUS.
2. As ofertas máximas registadas são geridas pelo website da TAGUS, significando que o valor do lote será incrementado de forma automática pelo sistema, desde que exista outra licitação ou oferta máxima colocada posteriormente.
3. Os licitantes que colocarem ofertas máximas, estarão a licitar o valor base de licitação (caso não existam ainda quaisquer licitações) ou o valor da licitação seguinte apresentada para o lote, ficando o valor dessa licitação condicionado a outro(s) valor(es) de eventuais ofertas máximas registadas previamente.
Artigo 27.º - Pagamento. Comissão de compra
1. O Comprador obriga-se a pagar à TAGUS a quantia total devida pela compra do lote, ou seja, o valor da respetiva venda e a seguinte comissão de compra sobre este valor, acrescida de IVA à taxa legal, se o mesmo for devido:
a) No website TAGUS (Live Auctions platform) - 20%;
b) No website Drouot - 24%;
c) No website Invaluable - 26%;
d) No website Bidspirit - 22%.
2. O pagamento deve ser realizado no prazo de 5 (cinco) dias úteis a contar do dia seguinte à data de fecho do leilão, podendo ser efetuado através de numerário, multibanco, transferência bancária ou cheque, nos termos da legislação em vigor.
3. O lote fica à disposição Comprador para levantamento após confirmação da boa cobrança pela TAGUS da quantia total devida.
4. A titularidade do bem transfere-se para o Comprador após o pagamento à TAGUS da quantia total devida pela compra do lote e levantamento do bem/ou o termo do prazo para o efeito. Até à transferência de titularidade, o bem permanece propriedade do Vendedor.
Artigo 28.º - Levantamento e transporte. Responsabilidade do Comprador pelo lote adquirido
1. O levantamento e transporte do lote adquirido é da inteira responsabilidade do Comprador, sem prejuízo da eventual indicação pela TAGUS de empresa(s) prestadora(s) desse serviço, a qual exclui qualquer responsabilidade pelo facto da TAGUS, seus representantes, trabalhadores ou colaboradores.
2. O Comprador deve proceder ao levantamento do lote adquirido no prazo de 5 (cinco) dias úteis a contar da data de fecho do leilão, e após o pagamento do montante total em dívida.
3. Qualquer perda ou dano do lote comprado, incluindo furto ou roubo, que ocorra durante o prazo para o seu levantamento, apenas confere ao Comprador o direito de receber quantia igual à paga até esse momento pelo lote, sem direito a indemnização ou juros.
Artigo 29.º - Incumprimento do Comprador. Não pagamento ou não levantamento dos lotes adquiridos
1. Se o Comprador não cumprir as condições e prazos de pagamento e/ou levantamento dos lotes adquiridos, previstos nos artigos 27.º e 28.º, a TAGUS, por si e/ou em representação do Vendedor, pode adotar uma ou várias das seguintes medidas:
a) Invocar o direito de retenção sobre um ou todos os lotes vendidos ao Comprador no leilão em causa, ou noutro leilão, até ao cumprimento da obrigação assumida;
b) Rejeitar qualquer licitação efetuada pelo Comprador em leilões subsequentes;
c) Atuar judicialmente contra o Comprador com vista a ser ressarcida dos prejuízos emergentes do incumprimento.
2. Para além do disposto no n.º 1, em caso de não pagamento do lote adquirido, a TAGUS pode:
a) Cobrar juros de mora, à taxa legal aplicável às transações comerciais, sobre o montante total em dívida até ao seu efetivo recebimento;
b) Anular a venda e voltar a vender em leilão ou fora de leilão, o lote não pago pelo Comprador, sem prejuízo da cobrança de qualquer importância que permaneça em dívida pelo Comprador faltoso e sem que este se possa opor ou pedir indemnização.
3. Para além do disposto no n.º 1, em caso de não levantamento do lote adquirido, a TAGUS pode cobrar as despesas de remoção, armazenamento e seguro do mesmo, nos termos do preçário em vigor.
4. No caso previsto no número anterior, o Comprador fica ainda responsável pela perda ou dano de qualquer natureza, incluindo furto ou roubo, do lote adquirido e não levantado.
5. Decorridos 60 (sessenta) dias após o pagamento do lote sem que o Comprador proceda ao seu levantamento, o mesmo autoriza, expressamente e sem reservas, que a TAGUS proceda à venda do mesmo para ressarcimento de todos os custos suportados. Havendo saldo positivo com a venda do lote, o mesmo será pago ao Comprador.
6. A TAGUS mantém o Vendedor informado sobre as medidas adotadas relativamente ao Comprador e, se a medida em concreto requerer intervenção do Vendedor, deverá este mandatar a TAGUS para o que se revele necessário ou conveniente.
7. Sempre que a TAGUS conseguir cobrar, de forma judicial ou extrajudicial, o crédito sobre o Comprador, entregará o valor devido ao Vendedor no prazo de 5 (cinco) dias úteis subsequente à efetiva cobrança.
Artigo 30.º - Descrição, estado de conservação e autenticidade dos bens
1. Os Compradores aceitam os bens no estado de conservação em que se encontram à data da realização do leilão, cabendo aos potenciais Compradores confirmar pessoalmente nas instalações da TAGUS, através da observação do lote, a exatidão da descrição constante do catálogo, designadamente no que diz respeito a eventuais restauros, faltas ou defeitos mencionados.
2. No caso de bens que incluam mecanismos ou componentes elétricos, a TAGUS incluirá na descrição do lote no catálogo informação sobre o seu estado de funcionamento, sem contudo se responsabilizar pelo seu bom funcionamento.
3. Verificando-se uma discrepância relevante entre a descrição e a realidade do bem no momento da aquisição - que implique significativa alteração do valor do bem -, ou que algum bem constituiu uma falsificação deliberada, o mesmo pode ser devolvido pelo Comprador à TAGUS no prazo de 2 (dois) anos a contar da data da compra, no mesmo estado em que se encontrava à data do leilão, acompanhado de um relatório subscrito por perito reconhecido no mercado nacional ou internacional, relativo aos defeitos ou falsificações identificados no bem, do número do lote e da data do leilão em que foi vendido.
4. A TAGUS pode contrapor à peritagem apresentada pelo Comprador outra de valor equivalente, caso em que o diferendo será decidido mediante consulta a um terceiro perito, escolhido por ambas as partes.
5. Se a TAGUS considerar que o Comprador tem razão, a compra e venda será anulada e a importância total que pagou à TAGUS devolvida, sem que o Vendedor a tal se possa opor.
6. Verificando-se o disposto no número anterior e o pagamento da conta de venda já tiver ocorrido, o Vendedor deve restituir à TAGUS o montante recebido pela venda do bem.
7. O disposto no presente artigo aplica-se exclusivamente ao Comprador originário, ou seja, aquele que tiver adquirido o bem no leilão, e restringe-se ao montante total por si pago pela compra, não podendo reivindicar qualquer perda, prejuízo ou dano sofrido ou despesa realizada.
Artigo 31.º - Inexistência do direito de livre resolução
O Comprador online reconhece que por ter efetuado uma compra em leilão não beneficia do direito de livre resolução do contrato, previsto na legislação que regula os contratos celebrados à distância.
Artigo 32.º - Reivindicações de terceiros
A TAGUS não é responsável perante o Comprador de qualquer bem que, por facto imputável ao Vendedor ou a terceiro, venha a ser alvo de reclamações ou reivindicações de terceiros incluindo a apreensão, pelas autoridades competentes, independentemente da data em que tenha sido determinada ou efetivada a respetiva reclamação, reivindicação ou apreensão, e da natureza ou montante de quaisquer prejuízos, perdas ou danos que para o Comprador possam decorrer desse facto, os quais devem ser reclamados pelo Comprador diretamente ao Vendedor ou terceiro causador.
Artigo 33.º - Restrições à transmissão, exportação e similares
1. A TAGUS não é igualmente responsável perante o Comprador por qualquer bem que venha a ser impedido de sair do país ou sujeito a qualquer outro ónus, encargo ou restrição determinado por entidades administrativas ou judiciais, incluindo ao abrigo da legislação de proteção do património cultural.
2. Constitui responsabilidade do Comprador informar-se (e, se for o caso, obter) sobre quaisquer (i) licenças e outras formalidades ou restrições à exportação, de Portugal para o país de destino pretendido pelo Comprador; e (ii) licenças e outras formalidades ou restrições à importação no país de destino pretendido pelo Comprador.
Artigo 34.º - Limitação de responsabilidade
Excepto em caso de dolo e sem prejuízo do seguro legalmente obrigatório, a eventual responsabilidade da TAGUS perante o Comprador fica, em qualquer caso, limitada ao montante efetivamente pago por este pela aquisição do lote.
IV. DISPOSIÇÕES FINAIS
Artigo 35.º - Direitos sobre fotografias e publicações
O Vendedor e o Comprador autorizam expressamente a TAGUS a fotografar, publicar e utilizar, a todo o tempo e sob qualquer forma, a imagem e a descrição dos bens que através dela tenham sido colocados em leilão.
Artigo 36.º - Comunicações
As comunicações da TAGUS dirigidas a Vendedores, licitantes ou Compradores, são efetuadas por correio eletrónico, telefone ou correio. Se efetuadas por correio registado, consideram-se recebidas 3 (três) dias após a sua expedição.
Artigo 37.º - Alterações
Os presentes Termos e Condições Negociais podem ser alterados pela TAGUS, sem aplicação retroativa.
Artigo 38.º - Foro competente
Para resolução de qualquer litígio entre as partes emergente do Contrato e dos presentes Termos e Condições Negociais será exclusivamente competente o foro da Comarca de Lisboa.
Artigo 39.º - Arbitragem
Nos termos do disposto na Lei n.º 144/2015, de 8 de setembro, informa-se o consumidor que, em caso de litígio, pode recorrer ao Centro de Arbitragem de Conflitos de Consumo de Lisboa, sito na Rua dos Douradores, 116 – 2.º, 1100-207 Lisboa, disponível em https://https://centroarbitragemlisboa.pt.

General terms and conditions (EN)
These Business Terms and Conditions apply to online auctions of movable goods organized by the commercial company Praças Abstratas, Lda., through the auction house TAGUS Art Auctioneers, hereinafter referred to as TAGUS, with commercial establishment at Tv. do Convento de Jesus, 16-A , 1200-126 Lisbon, Portugal.
I. GENERAL PROVISIONS
Article 1 - Framework
TAGUS governs its activity in accordance with the provisions of Decree-Law No. 155/2015, of August 10, which establishes the legal regime for auction activity, as well as in these Business Terms and Conditions and others that are individually established before each auction takes place.
Article 2 - Operation of the Website and Auction Catalogs
1. TAGUS organizes online auctions on the website tagusart.com , where catalogs with photographic images and descriptions of the goods that make up each lot for sale are made available in digital version.
2. Viewing photographic images of lots in the catalogs does not dispense with direct observation of the goods represented there at TAGUS facilities, during opening hours, with the aim of checking the conformity of the goods reproduced in photographs with their original.
3. The description of the goods contained in the catalogues, including their nature, authorship, origin, period, state of conservation and materials, must be understood as the opinion of TAGUS, not replacing an individual assessment by the interested party on these aspects.
4. In the online auctions that it organizes, TAGUS may allow the participation of users registered on other platforms managed by third parties.
5. TAGUS does not control, nor guarantee that the use of the online auction platform by registered users is in accordance with these Business Terms and Conditions, and therefore cannot be held responsible, under any circumstances, for damages that derive from incorrect use of the same by registered users.
6. The platform provided by TAGUS to carry out online auctions operates in an automated manner, therefore, TAGUS cannot be held responsible for any damages arising from any technical failures or website functioning problems that affect registered users.
7. In the event of a website functioning problem during an online auction, TAGUS may, without being obliged to do so, repeat the affected auction or relist the affected goods in a new auction.
Article 3 - Personal Data
1. TAGUS is the entity responsible for processing personal data provided by Sellers and Buyers in accordance with applicable legislation, namely Regulation (EU) no. 679/2016, of April 27 (General Data Protection Regulation) and Law No. 58/2019, of August 8.
2. Personal data provided by the Seller or Buyer are processed by TAGUS to comply with legal and contractual obligations, as well as for informational and advertising purposes inherent to TAGUS' auction activity.
3. The Seller or Buyer expressly consents to the processing of their personal data provided for the purpose set out in the previous paragraph.
4. The Seller's or Buyer's personal data collected by TAGUS are confidential and cannot be provided to third parties, unless the holder expressly consents.
5. The Seller or Buyer has the right to access their personal data, and may request its modification, rectification or deletion, through the website https://tagusart.com, by email to [email protected] or by letter registered, with acknowledgment of receipt, to the address of TAGUS, on Tv. do Convento de Jesus, 16-A, 1200-126 Lisboa - Portugal.
II. CONDITIONS RELATING TO SELLERS
Article 4 - Contract
1. A service provision contract must be signed between TAGUS and the Seller, hereinafter referred to as the contract.
2. The contract is in writing and must include the following elements:
a) The identification of TAGUS indicating its headquarters, legal entity number, name and tax identification number of its legal representatives;
b) The identification of the Seller and, if applicable, his representative with powers for this purpose, mentioning his name, residence, civil and tax identification number;
c) A summary description of the goods to be submitted for auction;
d) The base value of each asset, that is, the minimum sales value of the asset agreed by the parties;
e) The commission owed by the Seller to TAGUS for the sale of the goods;
f) The detailed identification of other services to be provided by TAGUS, such as cataloguing, insurance, cleaning, restoration, certificates or other documents required by law;
g) Declaration by the Seller or his representative of knowledge and acceptance of these Business Terms and Conditions.
3. The contract lasts for an indefinite period of time, ending with the payment of the sales bill or the return of the goods to the Seller by TAGUS, depending on the case.
4. The term of the contract may also end:
a) By mutual agreement;
b) In the cases expressly provided for in these Business Terms and Conditions;
c) By unilateral resolution with just cause.
Article 5 - Amendments to the Contract
The contract may be amended by mutual agreement and in writing, without prejudice to TAGUS being able to modify the description and/or increase the base value of the goods contained in the contract, as well as freely establish the number of goods to be placed in each lot, in the catalogue. where these goods will be included.
Article 6 - Guarantees and obligations of the Seller
1. The Seller guarantees that he has the capacity and legitimacy to contract and, in particular, that he is the owner and legitimate possessor of the goods, that they are free from encumbrances, charges or restrictions determined by administrative or judicial entities.
2. If, during the term of the contract, the Seller is notified or in any way becomes aware of a procedure leading to the creation of encumbrances, charges or restrictions on the goods or that any third party asserts a right over them, he must inform TAGUS of this fact. , immediately and in writing.
3. The Seller undertakes not to withdraw the goods consigned for sale at auction, after the date of signature of the respective contract.
4. If the goods are not in the possession of TAGUS, the Seller assumes the obligation to make the goods available to the Buyer as soon as the latter requests it.
5. TAGUS reserves the right to request, at any time, the presentation of documents proving ownership of the goods to the Seller.
6. The Seller assumes the obligation to compensate TAGUS, its representatives, workers or collaborators, as well as the Buyer, for any damage or loss they suffer as a result of non-compliance with the provisions set out in the previous paragraphs.
Article 7 - TAGUS' responsibility for the deposit. Safe
1. Unless otherwise stipulated, TAGUS is only responsible for goods deposited at its facilities that are covered by a contract duly signed by the parties in accordance with article 4, or that have been formally entrusted to it for evaluation purposes, or others.
2. TAGUS's liability for any loss or damage, including theft or theft, that may occur to goods covered by contract and/or goods that have been formally entrusted to it, is covered by insurance, under the following terms:
a) In the case of goods covered by contract, at the base value;
b) In the case of assets formally entrusted, for valuation or other purposes, at the valuation value set unilaterally by TAGUS.
3. All goods insured by TAGUS have a deductible of 1% on the base value per claim, so any compensation that occurs will always have the aforementioned deductible applied.
4. The insurance is in force until the ownership of the goods ceases to belong to the Seller or until the Seller must collect them.
5. TAGUS cannot, under any circumstances, be held responsible for damages resulting from the simple handling of goods in poor condition.
6. If the goods are not sold and the Seller does not collect them within the established period, after this period the Seller will be solely responsible for the goods and TAGUS or any of its representatives, workers or collaborators, cannot be held responsible for any loss or damage, including negligence.
Article 8 - Seller's responsibility for possession
Any loss or damage, including theft or theft, that occurs to an asset while it is in the Seller's possession, even after the contract has been signed, is the Seller's sole and exclusive responsibility, and the Seller is obliged to compensate TAGUS and/or the Buyer for all damages and losses suffered.
Article 9 - Seller's responsibility for transportation
The transportation of goods for deposit at TAGUS facilities, as well as their subsequent collection and transportation in case of non-sale, is the sole responsibility of the Seller.
Article 10.º - Sale of goods subject to special regime – Assay Office and CITES
1. Goods made up of precious metals offered for sale by TAGUS comply with the provisions of the Legal Regime for Goldsmiths and Assay Offices (RJOC), approved by Law no. 98/2015, of 18 August, amended by Decree-Law no. 120/2017, of September 15, and other applicable legislation, and must be duly contrasted whenever legally required.
2. The Seller is responsible for presenting the goods made of precious metals duly hallmarked by Imprensa Nacional-Casa da Moeda, SA (INCM), before being put up for auction, whenever this is required by law.
3. Goods incorporating materials from protected wild fauna and flora species, offered for sale by TAGUS, must be previously certified in accordance with the provisions of the Convention on International Trade in Endangered Species of Wild Fauna and Flora (CITES) , ratified by Portugal in 1980, and Decree-Law No. 121/2017, of September 20, which establishes its application in the national territory, adapting it to the changes in Regulations (EC) No. 338/97 and 865/2006.
4. It is the responsibility of the Seller of goods that incorporate materials from protected wild fauna and flora species, such as ivory, turtle or coral, among others, to present the respective certificate issued by the Institute for the Conservation of Nature and Forests (ICNF), before its placement at auction, whenever required by law.
5. If agreed between the Seller and TAGUS, the latter may handle the procedures with INCM and/or ICNF, depending on the case, with the Seller committing to deliver and sign the necessary documents, as well as pay TAGUS the corresponding expenses in accordance with the price list in force.
Article 11 - Organization of batches
TAGUS is responsible for organizing the list of lots for sale at auction, with photographic images and their respective base value, with each lot being able to include one or more of the Seller's assets.
Article 12 - Sales account
1. The sales bill is sent by TAGUS to the Seller and summarizes the results of the lots sold at auction.
2. The Seller authorizes TAGUS to deduct from the sales value of the lots:
a) The sales commission due to you under the terms of the contract, plus VAT at the legal rate;
b) The amount of services and other expenses provided for in the contract, plus VAT at the legal rate.
3. If the lot is not sold, at the end of the contract, TAGUS will only charge the Seller for the amount of services and other expenses provided for therein.
Article 13 - Compensation
If the Seller owes TAGUS any amount as Buyer of other goods, he expressly authorizes TAGUS to deduct that amount from the sales account, thereby offsetting existing credits.
Article 14 - Settlement of the sales account
1. In the case of sale of the lot(s), TAGUS will pay the sales bill to the Seller, monthly, between the 25th and 30th of each month.
2. If the Buyer does not pay for the lot within the established deadline, payment of the sales bill to the Seller will take place within 5 (five) business days from the date on which that amount is actually received by TAGUS.
3. In case of non-compliance by the Buyer, TAGUS must decide together with the Seller what is the most appropriate course of action to obtain payment from the Buyer.
4. If, in the specific case, it is not possible for TAGUS to obtain instructions from the Seller regarding the conduct to be adopted, the Seller expressly authorizes TAGUS to seek to agree special conditions for payment of the amount owed, remove, store or insure the lot sold, resolve retentions formulated by or against the Buyer under the terms it deems most convenient for the collection of amounts owed by the Buyer to the Seller and, if necessary, proceed with the termination of the contract, return amounts to the Buyer or adopt any of the measures provided for in Article 29.
Article 15 - Original work of art. Resale right
1. If the item sold constitutes an original work of art, the author of the work, other than the Seller, has the right, under the terms of article 54 of the Code of Copyright and Related Rights (as amended) given by Law No. 92/2019, of September 4), to a participation on the value obtained from the sale, free of taxes.
2. In this case, the payment of the participation is the responsibility of the Seller of the original work of art, who undertakes to retain such amount and deliver it to the author or, if applicable, to the author's heirs, at their request or of those who validly represent them.
3. If the author of the original work of art, his heirs or whoever validly represents them contacts TAGUS with a view to paying the participation referred to in this clause, TAGUS will provide information on the Seller's contact details and the terms under which processed the sale, so that the author can exercise his legal right to it.
Article 16 - Unsold goods
1. If a lot is not sold, and after payment of the respective sales bill, the Seller must choose, within 7 (seven) days after notification, to:
a) Accept the replacement of the unsold lot, in a subsequent auction that TAGUS may hold, with a minimum sales value of up to 30% below the base value; or
b) Collect the lot upon payment of the expenses due under the terms of the contract, without the right to any compensation or compensation due to the non-sale of the asset.
2. If Tagus considers that the unsold lot should be re-listed at auction for a minimum sales value greater than 30% below the base value, it must obtain prior authorization from the Seller.
3. After the third unsuccessful sale attempt under the terms of paragraph a) of the previous paragraph, Tagus may request the Seller to collect the unsold goods under the terms of article 17.
4. If the Seller remains silent after the notification provided for in paragraph 1, TAGUS will proceed in the order indicated therein, restoring the item for sale in subsequent auctions and, in the event of a third failed sale attempt, the Seller undertakes to proceed with the collection of the asset, terminating the contract signed with TAGUS.
Article 17 - Deadline for collecting unsold goods
If the Seller chooses to collect the unsold item, he must do so at TAGUS's premises, within 15 (fifteen) days from the date on which he communicated his decision to TAGUS.
Article 18 - Sale outside of auction
1. TAGUS reserves the right to sell a lot withdrawn from auction due to lack of bidding, for the agreed base value, at any time, until the item is actually collected by the Seller, unless the Seller expressly indicates in the contract that only intends to sell the good at auction.
2. For sales, under the terms of the previous paragraph, the sales conditions established in the contract apply.
Article 19 - Failure to meet the withdrawal deadline
1. After the period referred to in article 17 has elapsed without the good having been collected by the Seller, the title of possession over the good is considered inverted, for all legal purposes, with the Seller being responsible for loss or damage, including theft or theft, which may occur in the property, and from that date onwards neither TAGUS, nor its representatives, workers or collaborators can be held responsible for this eventuality.
2. The Seller will also be responsible for all expenses incurred in removing, storing or insuring the item, in accordance with the current price list.
Article 20. Exams and Expertise
1. TAGUS reserves the right, at any time, to carry out or have examinations and/or experts carried out on the property, to verify the respective description contained in the contract.
2. If such examinations or experts allow us to conclude that the contract is not materially correct, TAGUS may denounce or resolve it and, in the event that the Seller acted with intent or gross negligence in negotiating and concluding the contract , must compensate TAGUS for damages and losses suffered by it, including image damage if the sale of the good has already been publicized; TAGUS may also terminate the contract with immediate effect, in a well-founded manner, without the Seller being entitled to any compensation, in the event that such examinations or experts do not prove to be conclusive but, even so, TAGUS still has reasonable doubts about the material correction of the contract.
Article 21 - Seller's Default
In case of non-compliance by the Seller with its obligations arising from the contract, including, in particular, the obligation to make the goods available to TAGUS, the latter may notify the Seller to remedy the non-compliance within a reasonable and useful period, after which, if the situation If non-compliance persists, TAGUS will have the right to terminate the contract with immediate effect, and will also have the right to claim from the Seller, as a penalty clause, an amount corresponding to the commissions that would be owed by Seller and Buyer in the event of the sale of the good by the base value stipulated in the contract, plus any other amounts owed by the Seller under the contract and without prejudice to any excess damage.
III. CONDITIONS RELATING TO BUYERS
Article 22 - Online registration
1. To be able to register on the TAGUS website - https://tagusart.com - and bid in the auctions, the potential Buyer must be of legal age and must fill in the fields relating to their name, address, tax identification number, telephone number and email, and declare that you know and accept these Business Terms and Conditions.
2. The password and other means of authentication defined when registering on the TAGUS website must be kept confidential by the user, with the user being responsible for any unauthorized access to their account.
3. TAGUS reserves the right to suspend or cancel the registration, or ignore any bid, of anyone who has not fulfilled their obligations in previous auctions, namely payment and collection of purchased lots, or anyone who has provided false information or incorrect.
4. Cancellation of registration can be done at any time by the user, by sending an email to [email protected].
Article 23 - Proof of identification
TAGUS may request, at any time, the presentation of a valid and current identification document to the potential Buyer.
Article 24 - Guarantee requirement
TAGUS also reserves the right, upon registration or at a later date, to request any potential Buyer to present a guarantee that TAGUS considers reasonable, both in terms of form and amount.
Article 25 - Tenders. Purchase
1. Bids equal to or greater than the base value of each lot are accepted.
2. Online bids for a given lot are automatically executed by TAGUS at the best value allowed by any other online bids eventually received for the same lot.
3. Online bid increments follow the following table:

4. If there are bids of the same value on the different platforms, the bid submitted on the TAGUS platform prevails, and TAGUS is responsible for deciding in case of doubt.
5. Online bids received and accepted by TAGUS are confidential.
6. The potential Buyer accepts that their bids on the TAGUS website, once accepted, are final and cannot, by any means, be canceled or revoked, and TAGUS is not responsible for any errors or errors that occur in the online bid due to part of the Buyer.
7. The Buyer will be the one who bids and purchases the lot at the highest price, without prejudice to the possibility of exercising preference or option by official entities, in accordance with current legislation.
8. In the case of a timed sequential auction, whenever bids take place during the last 2 minutes prior to the closing time of the auction for a lot under bidding, an additional 2 minutes will be added to the closing time of the auction for that same lot and so on. successively. The auction will end when no one else bids.
Article 26 - Maximum offers
1. The maximum offers registered by bidders are not disclosed by TAGUS.
2. The maximum registered offers are managed by the TAGUS website, meaning that the value of the lot will be automatically increased by the system, as long as there is another bid or maximum offer placed later.
3. Bidders who place maximum bids will be bidding the base bid value (if there are no bids yet) or the value of the next bid presented for the lot, with the value of that bid being subject to other value(s). ) of any maximum offers previously registered.
Article 27 - Payment. Purchase commission
1. The Buyer undertakes to pay TAGUS the total amount due for the purchase of the lot, that is, the value of the respective sale and the following purchase commission on this value, plus VAT at the legal rate, if the same is due :
a) On the TAGUS website (Live Auctions platform) - 20%;
b) On the Drouot website - 24%;
c) On the Invaluable website - 26%;
d) On the Bidspirit website - 22%.
2. Payment must be made within 5 (five) working days from the day following the auction closing date, and can be made via cash, ATM, bank transfer or check, in accordance with current legislation.
3. The lot is available to the Buyer for collection after confirmation that TAGUS has successfully collected the total amount due.
4. Ownership of the good is transferred to the Buyer after payment to TAGUS of the total amount due for the purchase of the lot and collection of the good/or the end of the period for this purpose. Until ownership is transferred, the item remains the property of the Seller.
Article 28 - Lifting and transport. Buyer's responsibility for the lot purchased
1. The collection and transportation of the purchased lot is the sole responsibility of the Buyer, without prejudice to any indication by TAGUS of company(ies) providing this service, which excludes any responsibility for the fact that TAGUS, its representatives, workers or collaborators.
2. The Buyer must collect the purchased lot within 5 (five) working days from the closing date of the auction, and after payment of the total amount owed.
3. Any loss or damage to the purchased lot, including theft or theft, which occurs during the period for collection, only gives the Buyer the right to receive an amount equal to that paid up to that time for the lot, without the right to compensation or interest.
Article 29 - Buyer's Default. Non-payment or non-collection of purchased lots
1. If the Buyer does not comply with the conditions and deadlines for payment and/or collection of the purchased lots, provided for in articles 27 and 28, TAGUS, on its own and/or on behalf of the Seller, may adopt one or more of the following measures:
a) Invoke the right of retention over one or all lots sold to the Buyer at the auction in question, or another auction, until the obligation assumed is fulfilled;
b) Reject any bid made by the Buyer in subsequent auctions;
c) Take legal action against the Buyer with a view to being compensated for losses resulting from non-compliance.
2. In addition to the provisions of paragraph 1, in case of non-payment for the purchased lot, TAGUS may:
a) Charge default interest, at the legal rate applicable to commercial transactions, on the total amount owed until its actual receipt;
b) Cancel the sale and resell at auction or outside of auction, the lot not paid for by the Buyer, without prejudice to the collection of any amount that remains owed by the defaulting Buyer and without the latter being able to object or ask for compensation.
3. In addition to the provisions of paragraph 1, if the purchased lot is not collected, TAGUS may charge the costs of removing, storing and insuring it, under the terms of the price list in force.
4. In the case provided for in the previous paragraph, the Buyer is also responsible for loss or damage of any nature, including theft or theft, of the lot purchased and not collected.
5. After 60 (sixty) days have passed after payment for the lot and the Buyer has not collected it, the Buyer authorizes, expressly and without reservation, that TAGUS proceed with the sale of the same to reimburse all costs incurred. If there is a positive balance from the sale of the lot, it will be paid to the Buyer.
6. TAGUS keeps the Seller informed about the measures adopted in relation to the Buyer and, if the specific measure requires intervention from the Seller, the Seller must mandate TAGUS to do whatever is necessary or convenient.
7. Whenever TAGUS manages to collect, judicially or extrajudicially, the credit owed to the Buyer, it will deliver the amount due to the Seller within 5 (five) business days following the effective collection.
Article 30 - Description, state of conservation and authenticity of goods
1. Buyers accept the goods in the state of conservation in which they are found at the date of the auction, and potential Buyers are responsible for personally confirming at TAGUS facilities, through observation of the lot, the accuracy of the description contained in the catalogue, particularly with regard to concerns any restorations, shortages or defects mentioned.
2. In the case of goods that include electrical mechanisms or components, TAGUS will include in the batch description in the catalog information about their operating status, without however being responsible for their proper functioning.
3. If there is a relevant discrepancy between the description and the reality of the item at the time of acquisition - which implies a significant change in the value of the item -, or if any item constitutes a deliberate forgery, it may be returned by the Buyer to TAGUS at period of 2 (two) years from the date of purchase, in the same condition as it was at the date of the auction, accompanied by a report signed by an expert recognized in the national or international market, relating to the defects or falsifications identified in the good, of the lot number and the date of the auction at which it was sold.
4. TAGUS may contrast the expert opinion presented by the Buyer with another of equivalent value, in which case the dispute will be decided through consultation with a third expert, chosen by both parties.
5. If TAGUS considers that the Buyer is right, the purchase and sale will be canceled and the total amount paid to TAGUS will be returned, without the Seller being able to object.
6. If the provisions of the previous paragraph are met and payment of the sales bill has already occurred, the Seller must refund to TAGUS the amount received from the sale of the good.
7. The provisions of this article apply exclusively to the original Buyer, that is, the one who purchased the item at auction, and are restricted to the total amount paid for the purchase, and cannot claim any loss, injury or damage suffered or expense incurred.
Article 31 - Lack of the right to free resolution
The online Buyer acknowledges that having made a purchase at auction does not benefit from the right to freely terminate the contract, provided for in the legislation that regulates contracts concluded remotely.
Article 32 - Third-party claims
TAGUS is not responsible to the Buyer for any asset that, due to a fact attributable to the Seller or a third party, becomes the subject of complaints or claims from third parties, including seizure, by the competent authorities, regardless of the date on which it was determined or carried out. the respective claim, demand or seizure, and the nature or amount of any damages, losses or damages that may result from this fact to the Buyer, which must be claimed by the Buyer directly from the Seller or the third party causing it.
Article 33 - Restrictions on transmission, export and similar
1. TAGUS is also not responsible to the Buyer for any property that is prevented from leaving the country or subject to any other burden, charge or restriction determined by administrative or judicial entities, including under cultural heritage protection legislation. .
2. It is the Buyer's responsibility to inform itself (and, if applicable, obtain) about any (i) licenses and other formalities or restrictions on exports, from Portugal to the Buyer's intended country of destination; and (ii) licenses and other formalities or import restrictions in the Buyer's intended country of destination.
Article 34 - Limitation of liability
Except in the case of fraud and without prejudice to legally obligatory insurance, TAGUS's possible liability to the Buyer is, in any case, limited to the amount actually paid by the Buyer for the acquisition of the lot.
IV. FINAL DISPOSITIONS
Article 35 - Rights over photographs and publications
The Seller and the Buyer expressly authorize TAGUS to photograph, publish and use, at any time and in any form, the image and description of the goods that have been put up for auction through it.
Article 36 - Communications
TAGUS communications addressed to Sellers, bidders or Buyers are made by email, telephone or post. If sent by registered mail, they are considered received 3 (three) days after dispatch.
Article 37 - Amendments
These Business Terms and Conditions may be amended by TAGUS, without retroactive application.
Article 38 - Competent forum
For the resolution of any dispute between the parties arising from the Contract and these Business Terms and Conditions, the Lisbon District Court will have exclusive jurisdiction.
Article 39 - Arbitration
In accordance with the provisions of Law No. 144/2015, of September 8, the consumer is informed that, in the event of a dispute, he or she can resort to the Lisbon Consumer Conflict Arbitration Center, located at Rua dos Douradores, 116 – 2.º, 1100-207 Lisboa, available at https://https://centroarbitragemlisboa.pt.

Os presentes Termos e Condições Negociais aplicam-se aos leilões online de bens móveis organizados pela sociedade comercial Praças Abstratas, Lda., através da leiloeira TAGUS Art Auctioneers, doravante designada TAGUS, com estabelecimento comercial na Tv. do Convento de Jesus, 16-A, 1200-126 Lisboa, Portugal.
I. DISPOSIÇÕES GERAIS
Artigo 1.º - Enquadramento
A TAGUS rege a sua atividade de acordo com o disposto no Decreto-Lei n.º 155/2015, de 10 de agosto, que estabelece o regime jurídico da atividade leiloeira, bem como nos presentes Termos e Condições Negociais e noutros que sejam individualmente fixadas antes da realização de cada leilão.
Artigo 2.º - Funcionamento do Website e Catálogos dos Leilões
1. A TAGUS organiza os leilões online no website tagusart.com , no qual são disponibilizados em versão digital os catálogos com imagens fotográficas e descrição dos bens que compõem cada lote para venda.
2. A visualização das imagens fotográficas dos lotes nos catálogos não dispensa a observação direta dos bens ali representados nas instalações da TAGUS, durante o horário de funcionamento, com o objetivo de conferir a conformidade do bem reproduzido em fotografia com o seu original.
3. A descrição dos bens constante dos catálogos, incluindo a sua natureza, autoria, origem, época, estado de conservação e materiais, deve ser entendida como opinião da TAGUS, não se substituindo a uma avaliação individual do interessado sobre estes aspetos.
4. Nos leilões online que organiza, a TAGUS pode permitir a participação de utilizadores registados noutras plataformas geridas por terceiros.
5. A TAGUS não controla, nem garante, que a utilização da plataforma dos leilões online por parte dos utilizadores registados seja feita em conformidade com os presentes Termos e Condições Negociais, pelo que não pode ser responsabilizada, em caso algum, por danos e prejuízos que derivem de incorreta utilização do mesmo por parte dos utilizadores registados.
6. A plataforma disponibilizada pela TAGUS para realização dos leilões online opera de forma automatizada, pelo que, não pode igualmente a TAGUS ser responsabilizada por eventuais danos derivados de quaisquer falhas técnicas ou problemas de funcionamento do website, que afetem os utilizadores registados.
7. No caso de se verificar um problema de funcionamento do website num leilão online, a TAGUS pode, sem para tal ficar obrigada, repetir o leilão afetado ou recolocar os bens afetados em novo leilão.
Artigo 3.º - Dados Pessoais
1. A TAGUS é a entidade responsável pelo tratamento dos dados pessoais fornecidos pelos Vendedores e Compradores nos termos da legislação aplicável, nomeadamente o Regulamento (UE) n.º 679/2016, de 27 de abril (Regulamento Geral de Proteção de Dados) e a Lei n.º 58/2019, de 8 de agosto..
2. Os dados pessoais facultados pelo Vendedor ou pelo Comprador são processados pela TAGUS para cumprimento de obrigações legais e contratuais, bem como para fins informativos e publicitários inerentes à atividade leiloeira da TAGUS.
3. O Vendedor ou o Comprador consentem expressamente no processamento dos seus dados pessoais fornecidos com o propósito enunciado no número anterior.
4. Os dados pessoais do Vendedor ou do Comprador recolhidos pela TAGUS são confidenciais e não podem ser facultados a terceiros, salvo consentimento expresso do seu titular.
5. O Vendedor ou o Comprador têm o direito de acesso aos seus dados pessoais, podendo requerer a sua alteração, retificação ou eliminação, através do website https://tagusart.com, por correio eletrónico para o endereço [email protected] ou por carta registada, com aviso de receção, para o endereço da TAGUS, na Tv. do Convento de Jesus, 16-A, 1200-126 Lisboa - Portugal.
II. CONDIÇÕES RELATIVAS AOS VENDEDORES
Artigo 4.º - Contrato
1. Entre a TAGUS e o Vendedor é obrigatoriamente celebrado um contrato de prestação de serviços, doravante designado por contrato.
2. O contrato é reduzido a escrito e inclui, obrigatoriamente, os seguintes elementos:
a) A identificação da TAGUS com indicação da sua sede, número de pessoa coletiva, nome e número de identificação fiscal dos seus representantes legais;
b) A identificação do Vendedor e, se for o caso, do seu representante com poderes para o efeito, com menção do nome, residência, número de identificação civil e fiscal;
c) A descrição sumária dos bens a submeter a leilão;
d) O valor base de cada bem, ou seja, o valor mínimo de venda do bem acordado pelas partes;
e) A comissão devida pelo Vendedor à TAGUS pela venda dos bens;
f) A identificação discriminada de outros serviços a prestar pela TAGUS, tais como catalogação, seguro, limpeza, restauro, certificados ou outros documentos exigidos por lei;
g) A declaração do Vendedor ou do seu representante, de conhecimento e aceitação dos presentes Termos e Condições Negociais.
3. O contrato dura por tempo indeterminado, cessando a sua vigência com o pagamento da conta de venda ou a devolução dos bens ao Vendedor pela TAGUS, consoante o caso.
4. A vigência do contrato pode, ainda, cessar:
a) Por mútuo acordo;
b) Nos casos expressamente previstos nos presentes Termos e Condições Negociais;
c) Por resolução unilateral com justa causa.
Artigo 5.º - Alterações ao Contrato
O contrato pode ser alterado por mútuo acordo e por escrito, sem prejuízo de a TAGUS poder modificar a descrição e/ou aumentar o valor base dos bens constantes do contrato, assim como estabelecer livremente o número de bens a colocar em cada lote, no catálogo onde venham a ser incluídos esses bens.
Artigo 6.º - Garantias e obrigações do Vendedor
1. O Vendedor garante ter capacidade e legitimidade para contratar e, em especial, ser o proprietário e legítimo possuidor dos bens, que os mesmos se encontram livres de ónus, encargos ou restrições determinados por entidades administrativas ou judiciais.
2. Se, na vigência do contrato, o Vendedor for notificado ou de alguma forma tomar conhecimento de um procedimento tendente à criação de ónus, encargos ou restrições sobre os bens ou que qualquer terceiro arroga um direito sobre estes, deve informar tal facto à TAGUS, de imediato e por escrito.
3. O Vendedor compromete-se a não retirar os bens consignados para venda em leilão, após a data de assinatura do respetivo contrato.
4. No caso de os bens não ficarem na posse da TAGUS, o Vendedor assume perante esta e o Comprador a obrigação de colocar os bens à disposição do Comprador logo que este o solicite.
5. A TAGUS reserva-se o direito de solicitar, a todo o tempo, a apresentação de documentos comprovativos da propriedade dos bens ao Vendedor.
6. O Vendedor assume a obrigação de indemnizar a TAGUS, seus representantes, trabalhadores ou colaboradores, bem como bem o Comprador, por qualquer dano ou prejuízo que sofram em consequência do incumprimento das disposições previstas nos números anteriores.
Artigo 7.º - Responsabilidade da TAGUS pelo depósito. Seguro
1. Salvo estipulação em contrário, a TAGUS apenas se responsabiliza pelos bens depositados nas suas instalações que estejam abrangidos por contrato devidamente assinado pelas partes nos termos do artigo 4.º, ou que lhe tenham sido formalmente confiados para efeitos de avaliação, ou outros.
2. A responsabilidade da TAGUS por eventuais perdas ou danos, incluindo furto ou roubo, que possam ocorrer em bens abrangidos por contrato e/ou bens que lhe tenham sido formalmente confiados, está coberta por seguro, nos seguintes termos:
a) No caso de bens abrangidos por contrato, pelo valor base;
b) No caso de bens formalmente confiados, para efeitos de avaliação ou outros, pelo valor de avaliação fixado unilateralmente pela TAGUS.
3. Todos os bens seguros pela TAGUS têm uma franquia de 1% sobre o valor base por sinistro, pelo que, quaisquer indemnizações que ocorram terão sempre a aplicação da referida franquia.
4. O seguro vigora até que a titularidade dos bens deixe de pertencer ao Vendedor ou até que este deva proceder ao seu levantamento.
5. A TAGUS não pode, em caso algum, ser responsabilizada por danos resultantes do simples manuseamento de bens em mau estado de conservação.
6. Se os bens não forem vendidos e o Vendedor não proceder ao seu levantamento no prazo estabelecido, após este prazo o Vendedor será o único responsável pelos bens e a TAGUS ou qualquer seu representante, trabalhador ou colaborador, não poderá ser responsabilizada por qualquer perda ou dano, incluindo a título de negligência..
Artigo 8.º - Responsabilidade do Vendedor pela posse
Quaisquer perdas ou danos, incluindo furto ou roubo, que ocorram num bem enquanto este estiver na posse do Vendedor, mesmo após a assinatura do contrato, são da sua inteira e exclusiva responsabilidade, ficando este obrigado a indemnizar a TAGUS e/ou o Comprador por todos os danos e prejuízos sofridos.
Artigo 9.º - Responsabilidade do Vendedor pelo transporte
O transporte dos bens para depósito nas instalações da TAGUS, bem como o seu posterior levantamento e transporte em caso de não venda, é da inteira responsabilidade do Vendedor.
Artigo 10.º - Venda de bens sujeitos a regime especial – Contrastaria e CITES
1. Os bens constituídos por metais preciosos colocados em venda pela TAGUS observam o disposto no Regime Jurídico da Ourivesaria e das Contrastarias (RJOC), aprovado pela Lei n.º 98/2015, de 18 de agosto, alterada pelo Decreto-Lei n.º 120/2017, de 15 de setembro, e demais legislação aplicável, devendo estar devidamente contrastados sempre que tal for legalmente exigível.
2. Compete ao Vendedor apresentar os bens constituídos por metais preciosos devidamente contrastados pela Imprensa Nacional-Casa da Moeda, S.A. (INCM), antes da sua colocação em leilão, sempre que tal seja exigido por lei.
3. Os bens que incorporem materiais de espécies da fauna e flora selvagens protegidas, colocados em venda pela TAGUS, devem ser previamente certificados em conformidade com as disposições da Convenção sobre o Comércio Internacional das Espécies de Fauna e Flora Selvagens Ameaçadas de Extinção (CITES), ratificada por Portugal em 1980, e do Decreto-Lei n.º 121/2017, de 20 de setembro, que estabelece a sua aplicação em território nacional, adaptando-a às alterações dos Regulamentos (CE) n.ºs 338/97 e 865/2006.
4. Compete ao Vendedor de bens que incorporem materiais de espécies da fauna e flora selvagens protegidas, tais como marfim, tartaruga ou coral, entre outras, apresentar o respetivo certificado emitido pelo Instituto da Conservação da Natureza e das Florestas (ICNF), antes da sua colocação em leilão, sempre que tal seja exigido por lei.
5. Caso seja acordado entre o Vendedor e a TAGUS, esta poderá tratar dos procedimentos junto da INCM e/ou do ICNF, consoante o caso, comprometendo-se o Vendedor a entregar e assinar os documentos necessários, bem como a pagar à TAGUS as correspondentes despesas de acordo com o preçário em vigor.
Artigo 11.º - Organização de lotes
Compete à TAGUS organizar a lista de lotes para venda em leilão, com imagens fotográficas e respetivo valor base, podendo cada lote integrar um ou mais bens do Vendedor.
Artigo 12.º - Conta de venda
1. A conta de venda é remetida pela TAGUS ao Vendedor e resume o resultado dos lotes vendidos em leilão.
2. O Vendedor autoriza a TAGUS a deduzir ao valor da venda dos lotes:
a) A comissão de venda que lhe é devida nos termos do contrato, acrescida de IVA à taxa legal;
b) O montante dos serviços e outras despesas previstos no contrato, acrescido de IVA à taxa legal.
3. No caso de não venda do lote, no termo do contrato a TAGUS debita ao Vendedor apenas o montante dos serviços e outras despesas nele previstos.
Artigo 13.º - Compensação
Se o Vendedor dever à TAGUS qualquer quantia enquanto Comprador de outros bens, autoriza expressamente a TAGUS a deduzir essa quantia à conta de venda, operando nessa medida a compensação entre os créditos existentes.
Artigo 14.º - Liquidação da conta de venda
1. No caso de venda do(s) lote(s), a TAGUS procede ao pagamento da conta de venda ao Vendedor, mensalmente, entre os dias 25 e 30 de cada mês.
2. Se o Comprador não proceder ao pagamento do lote no prazo estabelecido, o pagamento da conta de venda ao Vendedor terá lugar no prazo de 5 (cinco) dias úteis a contar da data em que aquele montante for efetivamente recebido pela TAGUS.
3. Em caso de incumprimento por parte do Comprador, a TAGUS deve decidir em conjunto com o Vendedor qual a conduta mais adequada a tomar para obter o pagamento por parte do Comprador.
4. Se, no caso concreto, não for possível a TAGUS obter instruções do Vendedor relativamente à conduta a adotar, o Vendedor autoriza expressamente a TAGUS a procurar acordar condições especiais de pagamento do montante em dívida, remover, armazenar ou segurar o lote vendido, resolver retenções formuladas pelo ou contra o Comprador nos termos que julgar mais convenientes à cobrança de importâncias devidas pelo Comprador ao Vendedor e, se necessário, proceder à resolução do contrato, devolver montantes ao Comprador ou adotar quaisquer das medidas previstas no Artigo 29.º.
Artigo 15.º - Obra de arte original. Direito de sequência
1. Se o bem vendido constituir uma obra de arte original, o autor da obra, que não seja o Vendedor, tem direito, nos termos do artigo 54.º do Código do Direito de Autor e dos Direitos Conexos (na redação que lhe foi dada pela Lei n.º 92/2019, de 4 setembro), a uma participação sobre o valor obtido na venda, livre de impostos.
2. Neste caso, o pagamento da participação é da responsabilidade do Vendedor da obra de arte original, o qual se compromete a reter tal quantia e entregá-la ao autor ou, se for o caso, aos herdeiros do autor, a solicitação destes ou de quem validamente os represente.
3. No caso de o autor da obra de arte original, seus herdeiros ou quem validamente os represente contactar a TAGUS com vista ao pagamento da participação referida nesta cláusula, a TAGUS prestará informação sobre os dados de contacto do Vendedor e dos termos em que se processou a venda, para que o autor possa exercer o seu direito legal junto do mesmo.
Artigo 16.º - Bens não vendidos
1. No caso de não venda de um lote, e após o pagamento da respetiva conta de venda, o Vendedor deve optar, no prazo de 7 (sete) dias após a notificação, por:
a) Aceitar a reposição do lote não vendido, num leilão subsequente que a TAGUS venha a realizar, com um valor mínimo de venda até 30% abaixo do valor base; ou
b) Proceder ao levantamento do lote mediante o pagamento das despesas devidas nos termos do contrato, sem direito a qualquer compensação ou indemnização pelo facto da não venda do bem.
2. Se a Tagus considerar que o lote não vendido deverá ser recolocado em leilão por valor mínimo de venda superior a 30% abaixo do valor base, deverá obter prévia autorização do Vendedor.
3. Após a terceira tentativa de venda frustrada nos termos da alínea a) do número anterior, pode a Tagus solicitar ao Vendedor o levantamento dos bens não vendidos nos termos do artigo 17.º.
4. No silêncio do Vendedor após a notificação prevista no n.º 1, a TAGUS procederá pela ordem ali indicada, repondo o bem à venda em leilões seguintes e, verificando-se a terceira tentativa de venda frustrada, o Vendedor obriga-se a proceder ao levantamento do bem, cessando o contrato celebrado com a TAGUS.
Artigo 17.º - Prazo de levantamento de bens não vendidos
Caso o Vendedor opte por proceder ao levantamento do bem não vendido, deve fazê-lo nas instalações da TAGUS, no prazo de 15 (quinze) dias a contar da data em que comunicou à TAGUS a sua decisão.
Artigo 18.º - Venda fora de leilão
1. A TAGUS reserva-se o direito de proceder à venda de um lote retirado de leilão por falta de licitação, pelo valor base acordado, a todo o tempo, até efetivo levantamento do bem pelo Vendedor, salvo se este indicar de forma expressa no contrato que apenas pretende vender o bem em leilão.
2. À venda, nos termos do número anterior, aplicam-se as condições de venda estabelecidas no contrato.
Artigo 19.º - Incumprimento do prazo de levantamento
1. Decorrido o prazo referido no artigo 17.º sem que o bem tenha sido levantado pelo Vendedor, considera-se invertido o título da posse sobre o bem, para todos os efeitos legais, ficando o Vendedor responsável pela perda ou dano, incluindo furto ou roubo, que possa ocorrer no bem, não podendo a partir dessa data nem a TAGUS, nem os seus representantes, trabalhadores ou colaboradores ser responsabilizados por essa eventualidade.
2. O Vendedor ficará igualmente responsável por todas as despesas de remoção, armazenamento ou seguro do bem a que haja lugar, nos termos do preçário em vigor.
Artigo 20.º Exames e Peritagens
1. A TAGUS reserva-se o direito de, a todo o tempo, efetuar ou mandar efetuar exames e/ou peritagens ao bem, para verificação da respetiva descrição constante do contrato.
2. No caso de tais exames ou peritagens permitirem concluir que o contrato não se encontra materialmente correto, poderá a TAGUS denunciá-lo ou resolvê-lo e, no caso de o Vendedor ter atuado com dolo ou negligência grosseira na negociação e celebração do contrato, deverá indemnizar a TAGUS pelos danos e prejuízos por esta sofridos, incluindo o dano de imagem no caso de a venda do bem já ter sido publicitada; poderá ainda a TAGUS resolver o contrato com efeitos imediatos, de forma fundamentada, sem que por isso tenha o Vendedor direito a qualquer indemnização, no caso de tais exames ou peritagens não se revelarem conclusivos mas, ainda assim, subsistirem para a TAGUS fundadas dúvidas sobre a correção material do contrato.
Artigo 21.º - Incumprimento do Vendedor
Em caso de incumprimento por parte do Vendedor das respetivas obrigações emergentes do contrato, incluindo, designadamente, a obrigação de disponibilizar o bem à TAGUS, poderá esta notificar o Vendedor para sanar o incumprimento em prazo razoável e útil, findo o qual, se a situação de incumprimento persistir, a TAGUS terá o direito de resolver o contrato com efeitos imediatos, tendo ainda direito a reclamar do Vendedor, a título de cláusula penal, uma quantia correspondente às comissões que seriam devidas por Vendedor e Comprador em caso de venda do bem pelo valor base estipulado no contrato, acrescida de quaisquer outras quantias devidas pelo Vendedor ao abrigo do contrato e sem prejuízo de um eventual dano excedente.
III. CONDIÇÕES RELATIVAS AOS COMPRADORES
Artigo 22.º - Registo online
1. Para poder registar-se no website da TAGUS - https://tagusart.com - e licitar nos leilões, o potencial Comprador deve ser maior de idade, preencher obrigatoriamente os campos relativos ao seu nome, morada, número de identificação fiscal, contacto telefónico e e-mail, e declarar conhecer e aceitar os presentes Termos e Condições Negociais.
2. A palavra-passe e demais meios de autenticação definidos aquando do registo no website da TAGUS devem ser mantidos confidenciais pelo utilizador, responsabilizando-se este por qualquer acesso não autorizado à respetiva conta.
3. A TAGUS reserva-se o direito de suspender ou cancelar o registo, ou ignorar uma qualquer licitação, de quem não tiver cumprido as suas obrigações em leilões anteriores, designadamente de pagamento e levantamento de lotes comprados, ou a quem tiver prestado informações falsas ou incorretas.
4. O cancelamento do registo pode ser efetuado a todo o tempo pelo utilizador, mediante o envio de mensagem de correio eletrónico para o endereço [email protected].
Artigo 23.º - Prova da identificação
A TAGUS pode solicitar, a todo o tempo, a apresentação de um documento de identificação válido e em vigor ao potencial Comprador.
Artigo 24.º - Exigência de garantia
A TAGUS reserva-se igualmente o direito de, no acto de registo ou em momento posterior, solicitar a qualquer potencial Comprador a apresentação de uma garantia que a TAGUS considere razoável, tanto quanto à forma como ao montante.
Artigo 25.º - Licitações. Compra
1. São aceites licitações de valor igual ou superior ao valor base de cada lote.
2. As licitações online para um determinado lote são automaticamente executadas pela TAGUS ao melhor valor permitido por quaisquer outras licitações online eventualmente recebidas para o mesmo lote.
3. Os incrementos dos lances online obedecem à seguinte tabela:

4. Havendo licitações de valor coincidente nas diversas plataformas, prevalece a licitação que for submetida na plataforma da TAGUS, cabendo à TAGUS decidir em caso de dúvida.
5. As licitações online recebidas e aceites pela TAGUS são confidenciais.
6. O potencial Comprador aceita que as suas licitações no website da TAGUS, uma vez aceites, são definitivas e não podem, por qualquer meio, ser anuladas ou revogadas, não sendo a TAGUS responsável por quaisquer erros ou falhas que ocorram na licitação online por parte do Comprador.
7. O Comprador será aquele que licite e compre o lote pelo valor mais alto, sem prejuízo da possibilidade de exercício de preferência ou opção por entidades oficiais, nos termos da legislação em vigor.
8. No caso de um leilão sequencial temporizado, sempre que se verifiquem licitações durante os últimos 2 minutos que antecedem a hora de fecho do leilão de um lote em licitação, serão adicionados mais 2 minutos à hora de fecho do leilão desse mesmo lote e assim sucessivamente. O leilão terminará quando ninguém mais licitar.
Artigo 26.º - Ofertas máximas
1. As ofertas máximas registadas pelos licitantes não são divulgadas pela TAGUS.
2. As ofertas máximas registadas são geridas pelo website da TAGUS, significando que o valor do lote será incrementado de forma automática pelo sistema, desde que exista outra licitação ou oferta máxima colocada posteriormente.
3. Os licitantes que colocarem ofertas máximas, estarão a licitar o valor base de licitação (caso não existam ainda quaisquer licitações) ou o valor da licitação seguinte apresentada para o lote, ficando o valor dessa licitação condicionado a outro(s) valor(es) de eventuais ofertas máximas registadas previamente.
Artigo 27.º - Pagamento. Comissão de compra
1. O Comprador obriga-se a pagar à TAGUS a quantia total devida pela compra do lote, ou seja, o valor da respetiva venda e a seguinte comissão de compra sobre este valor, acrescida de IVA à taxa legal, se o mesmo for devido:
a) No website TAGUS (Live Auctions platform) - 20%;
b) No website Drouot - 24%;
c) No website Invaluable - 26%;
d) No website Bidspirit - 22%.
2. O pagamento deve ser realizado no prazo de 5 (cinco) dias úteis a contar do dia seguinte à data de fecho do leilão, podendo ser efetuado através de numerário, multibanco, transferência bancária ou cheque, nos termos da legislação em vigor.
3. O lote fica à disposição Comprador para levantamento após confirmação da boa cobrança pela TAGUS da quantia total devida.
4. A titularidade do bem transfere-se para o Comprador após o pagamento à TAGUS da quantia total devida pela compra do lote e levantamento do bem/ou o termo do prazo para o efeito. Até à transferência de titularidade, o bem permanece propriedade do Vendedor.
Artigo 28.º - Levantamento e transporte. Responsabilidade do Comprador pelo lote adquirido
1. O levantamento e transporte do lote adquirido é da inteira responsabilidade do Comprador, sem prejuízo da eventual indicação pela TAGUS de empresa(s) prestadora(s) desse serviço, a qual exclui qualquer responsabilidade pelo facto da TAGUS, seus representantes, trabalhadores ou colaboradores.
2. O Comprador deve proceder ao levantamento do lote adquirido no prazo de 5 (cinco) dias úteis a contar da data de fecho do leilão, e após o pagamento do montante total em dívida.
3. Qualquer perda ou dano do lote comprado, incluindo furto ou roubo, que ocorra durante o prazo para o seu levantamento, apenas confere ao Comprador o direito de receber quantia igual à paga até esse momento pelo lote, sem direito a indemnização ou juros.
Artigo 29.º - Incumprimento do Comprador. Não pagamento ou não levantamento dos lotes adquiridos
1. Se o Comprador não cumprir as condições e prazos de pagamento e/ou levantamento dos lotes adquiridos, previstos nos artigos 27.º e 28.º, a TAGUS, por si e/ou em representação do Vendedor, pode adotar uma ou várias das seguintes medidas:
a) Invocar o direito de retenção sobre um ou todos os lotes vendidos ao Comprador no leilão em causa, ou noutro leilão, até ao cumprimento da obrigação assumida;
b) Rejeitar qualquer licitação efetuada pelo Comprador em leilões subsequentes;
c) Atuar judicialmente contra o Comprador com vista a ser ressarcida dos prejuízos emergentes do incumprimento.
2. Para além do disposto no n.º 1, em caso de não pagamento do lote adquirido, a TAGUS pode:
a) Cobrar juros de mora, à taxa legal aplicável às transações comerciais, sobre o montante total em dívida até ao seu efetivo recebimento;
b) Anular a venda e voltar a vender em leilão ou fora de leilão, o lote não pago pelo Comprador, sem prejuízo da cobrança de qualquer importância que permaneça em dívida pelo Comprador faltoso e sem que este se possa opor ou pedir indemnização.
3. Para além do disposto no n.º 1, em caso de não levantamento do lote adquirido, a TAGUS pode cobrar as despesas de remoção, armazenamento e seguro do mesmo, nos termos do preçário em vigor.
4. No caso previsto no número anterior, o Comprador fica ainda responsável pela perda ou dano de qualquer natureza, incluindo furto ou roubo, do lote adquirido e não levantado.
5. Decorridos 60 (sessenta) dias após o pagamento do lote sem que o Comprador proceda ao seu levantamento, o mesmo autoriza, expressamente e sem reservas, que a TAGUS proceda à venda do mesmo para ressarcimento de todos os custos suportados. Havendo saldo positivo com a venda do lote, o mesmo será pago ao Comprador.
6. A TAGUS mantém o Vendedor informado sobre as medidas adotadas relativamente ao Comprador e, se a medida em concreto requerer intervenção do Vendedor, deverá este mandatar a TAGUS para o que se revele necessário ou conveniente.
7. Sempre que a TAGUS conseguir cobrar, de forma judicial ou extrajudicial, o crédito sobre o Comprador, entregará o valor devido ao Vendedor no prazo de 5 (cinco) dias úteis subsequente à efetiva cobrança.
Artigo 30.º - Descrição, estado de conservação e autenticidade dos bens
1. Os Compradores aceitam os bens no estado de conservação em que se encontram à data da realização do leilão, cabendo aos potenciais Compradores confirmar pessoalmente nas instalações da TAGUS, através da observação do lote, a exatidão da descrição constante do catálogo, designadamente no que diz respeito a eventuais restauros, faltas ou defeitos mencionados.
2. No caso de bens que incluam mecanismos ou componentes elétricos, a TAGUS incluirá na descrição do lote no catálogo informação sobre o seu estado de funcionamento, sem contudo se responsabilizar pelo seu bom funcionamento.
3. Verificando-se uma discrepância relevante entre a descrição e a realidade do bem no momento da aquisição - que implique significativa alteração do valor do bem -, ou que algum bem constituiu uma falsificação deliberada, o mesmo pode ser devolvido pelo Comprador à TAGUS no prazo de 2 (dois) anos a contar da data da compra, no mesmo estado em que se encontrava à data do leilão, acompanhado de um relatório subscrito por perito reconhecido no mercado nacional ou internacional, relativo aos defeitos ou falsificações identificados no bem, do número do lote e da data do leilão em que foi vendido.
4. A TAGUS pode contrapor à peritagem apresentada pelo Comprador outra de valor equivalente, caso em que o diferendo será decidido mediante consulta a um terceiro perito, escolhido por ambas as partes.
5. Se a TAGUS considerar que o Comprador tem razão, a compra e venda será anulada e a importância total que pagou à TAGUS devolvida, sem que o Vendedor a tal se possa opor.
6. Verificando-se o disposto no número anterior e o pagamento da conta de venda já tiver ocorrido, o Vendedor deve restituir à TAGUS o montante recebido pela venda do bem.
7. O disposto no presente artigo aplica-se exclusivamente ao Comprador originário, ou seja, aquele que tiver adquirido o bem no leilão, e restringe-se ao montante total por si pago pela compra, não podendo reivindicar qualquer perda, prejuízo ou dano sofrido ou despesa realizada.
Artigo 31.º - Inexistência do direito de livre resolução
O Comprador online reconhece que por ter efetuado uma compra em leilão não beneficia do direito de livre resolução do contrato, previsto na legislação que regula os contratos celebrados à distância.
Artigo 32.º - Reivindicações de terceiros
A TAGUS não é responsável perante o Comprador de qualquer bem que, por facto imputável ao Vendedor ou a terceiro, venha a ser alvo de reclamações ou reivindicações de terceiros incluindo a apreensão, pelas autoridades competentes, independentemente da data em que tenha sido determinada ou efetivada a respetiva reclamação, reivindicação ou apreensão, e da natureza ou montante de quaisquer prejuízos, perdas ou danos que para o Comprador possam decorrer desse facto, os quais devem ser reclamados pelo Comprador diretamente ao Vendedor ou terceiro causador.
Artigo 33.º - Restrições à transmissão, exportação e similares
1. A TAGUS não é igualmente responsável perante o Comprador por qualquer bem que venha a ser impedido de sair do país ou sujeito a qualquer outro ónus, encargo ou restrição determinado por entidades administrativas ou judiciais, incluindo ao abrigo da legislação de proteção do património cultural.
2. Constitui responsabilidade do Comprador informar-se (e, se for o caso, obter) sobre quaisquer (i) licenças e outras formalidades ou restrições à exportação, de Portugal para o país de destino pretendido pelo Comprador; e (ii) licenças e outras formalidades ou restrições à importação no país de destino pretendido pelo Comprador.
Artigo 34.º - Limitação de responsabilidade
Excepto em caso de dolo e sem prejuízo do seguro legalmente obrigatório, a eventual responsabilidade da TAGUS perante o Comprador fica, em qualquer caso, limitada ao montante efetivamente pago por este pela aquisição do lote.
IV. DISPOSIÇÕES FINAIS
Artigo 35.º - Direitos sobre fotografias e publicações
O Vendedor e o Comprador autorizam expressamente a TAGUS a fotografar, publicar e utilizar, a todo o tempo e sob qualquer forma, a imagem e a descrição dos bens que através dela tenham sido colocados em leilão.
Artigo 36.º - Comunicações
As comunicações da TAGUS dirigidas a Vendedores, licitantes ou Compradores, são efetuadas por correio eletrónico, telefone ou correio. Se efetuadas por correio registado, consideram-se recebidas 3 (três) dias após a sua expedição.
Artigo 37.º - Alterações
Os presentes Termos e Condições Negociais podem ser alterados pela TAGUS, sem aplicação retroativa.
Artigo 38.º - Foro competente
Para resolução de qualquer litígio entre as partes emergente do Contrato e dos presentes Termos e Condições Negociais será exclusivamente competente o foro da Comarca de Lisboa.
Artigo 39.º - Arbitragem
Nos termos do disposto na Lei n.º 144/2015, de 8 de setembro, informa-se o consumidor que, em caso de litígio, pode recorrer ao Centro de Arbitragem de Conflitos de Consumo de Lisboa, sito na Rua dos Douradores, 116 – 2.º, 1100-207 Lisboa, disponível em https://https://centroarbitragemlisboa.pt.

These Business Terms and Conditions apply to online auctions of movable goods organized by the commercial company Praças Abstratas, Lda., through the auction house TAGUS Art Auctioneers, hereinafter referred to as TAGUS, with commercial establishment at Tv. do Convento de Jesus, 16-A , 1200-126 Lisbon, Portugal.
I. GENERAL PROVISIONS
Article 1 - Framework
TAGUS governs its activity in accordance with the provisions of Decree-Law No. 155/2015, of August 10, which establishes the legal regime for auction activity, as well as in these Business Terms and Conditions and others that are individually established before each auction takes place.
Article 2 - Operation of the Website and Auction Catalogs
1. TAGUS organizes online auctions on the website tagusart.com , where catalogs with photographic images and descriptions of the goods that make up each lot for sale are made available in digital version.
2. Viewing photographic images of lots in the catalogs does not dispense with direct observation of the goods represented there at TAGUS facilities, during opening hours, with the aim of checking the conformity of the goods reproduced in photographs with their original.
3. The description of the goods contained in the catalogues, including their nature, authorship, origin, period, state of conservation and materials, must be understood as the opinion of TAGUS, not replacing an individual assessment by the interested party on these aspects.
4. In the online auctions that it organizes, TAGUS may allow the participation of users registered on other platforms managed by third parties.
5. TAGUS does not control, nor guarantee that the use of the online auction platform by registered users is in accordance with these Business Terms and Conditions, and therefore cannot be held responsible, under any circumstances, for damages that derive from incorrect use of the same by registered users.
6. The platform provided by TAGUS to carry out online auctions operates in an automated manner, therefore, TAGUS cannot be held responsible for any damages arising from any technical failures or website functioning problems that affect registered users.
7. In the event of a website functioning problem during an online auction, TAGUS may, without being obliged to do so, repeat the affected auction or relist the affected goods in a new auction.
Article 3 - Personal Data
1. TAGUS is the entity responsible for processing personal data provided by Sellers and Buyers in accordance with applicable legislation, namely Regulation (EU) no. 679/2016, of April 27 (General Data Protection Regulation) and Law No. 58/2019, of August 8.
2. Personal data provided by the Seller or Buyer are processed by TAGUS to comply with legal and contractual obligations, as well as for informational and advertising purposes inherent to TAGUS' auction activity.
3. The Seller or Buyer expressly consents to the processing of their personal data provided for the purpose set out in the previous paragraph.
4. The Seller's or Buyer's personal data collected by TAGUS are confidential and cannot be provided to third parties, unless the holder expressly consents.
5. The Seller or Buyer has the right to access their personal data, and may request its modification, rectification or deletion, through the website https://tagusart.com, by email to [email protected] or by letter registered, with acknowledgment of receipt, to the address of TAGUS, on Tv. do Convento de Jesus, 16-A, 1200-126 Lisboa - Portugal.
II. CONDITIONS RELATING TO SELLERS
Article 4 - Contract
1. A service provision contract must be signed between TAGUS and the Seller, hereinafter referred to as the contract.
2. The contract is in writing and must include the following elements:
a) The identification of TAGUS indicating its headquarters, legal entity number, name and tax identification number of its legal representatives;
b) The identification of the Seller and, if applicable, his representative with powers for this purpose, mentioning his name, residence, civil and tax identification number;
c) A summary description of the goods to be submitted for auction;
d) The base value of each asset, that is, the minimum sales value of the asset agreed by the parties;
e) The commission owed by the Seller to TAGUS for the sale of the goods;
f) The detailed identification of other services to be provided by TAGUS, such as cataloguing, insurance, cleaning, restoration, certificates or other documents required by law;
g) Declaration by the Seller or his representative of knowledge and acceptance of these Business Terms and Conditions.
3. The contract lasts for an indefinite period of time, ending with the payment of the sales bill or the return of the goods to the Seller by TAGUS, depending on the case.
4. The term of the contract may also end:
a) By mutual agreement;
b) In the cases expressly provided for in these Business Terms and Conditions;
c) By unilateral resolution with just cause.
Article 5 - Amendments to the Contract
The contract may be amended by mutual agreement and in writing, without prejudice to TAGUS being able to modify the description and/or increase the base value of the goods contained in the contract, as well as freely establish the number of goods to be placed in each lot, in the catalogue. where these goods will be included.
Article 6 - Guarantees and obligations of the Seller
1. The Seller guarantees that he has the capacity and legitimacy to contract and, in particular, that he is the owner and legitimate possessor of the goods, that they are free from encumbrances, charges or restrictions determined by administrative or judicial entities.
2. If, during the term of the contract, the Seller is notified or in any way becomes aware of a procedure leading to the creation of encumbrances, charges or restrictions on the goods or that any third party asserts a right over them, he must inform TAGUS of this fact. , immediately and in writing.
3. The Seller undertakes not to withdraw the goods consigned for sale at auction, after the date of signature of the respective contract.
4. If the goods are not in the possession of TAGUS, the Seller assumes the obligation to make the goods available to the Buyer as soon as the latter requests it.
5. TAGUS reserves the right to request, at any time, the presentation of documents proving ownership of the goods to the Seller.
6. The Seller assumes the obligation to compensate TAGUS, its representatives, workers or collaborators, as well as the Buyer, for any damage or loss they suffer as a result of non-compliance with the provisions set out in the previous paragraphs.
Article 7 - TAGUS' responsibility for the deposit. Safe
1. Unless otherwise stipulated, TAGUS is only responsible for goods deposited at its facilities that are covered by a contract duly signed by the parties in accordance with article 4, or that have been formally entrusted to it for evaluation purposes, or others.
2. TAGUS's liability for any loss or damage, including theft or theft, that may occur to goods covered by contract and/or goods that have been formally entrusted to it, is covered by insurance, under the following terms:
a) In the case of goods covered by contract, at the base value;
b) In the case of assets formally entrusted, for valuation or other purposes, at the valuation value set unilaterally by TAGUS.
3. All goods insured by TAGUS have a deductible of 1% on the base value per claim, so any compensation that occurs will always have the aforementioned deductible applied.
4. The insurance is in force until the ownership of the goods ceases to belong to the Seller or until the Seller must collect them.
5. TAGUS cannot, under any circumstances, be held responsible for damages resulting from the simple handling of goods in poor condition.
6. If the goods are not sold and the Seller does not collect them within the established period, after this period the Seller will be solely responsible for the goods and TAGUS or any of its representatives, workers or collaborators, cannot be held responsible for any loss or damage, including negligence.
Article 8 - Seller's responsibility for possession
Any loss or damage, including theft or theft, that occurs to an asset while it is in the Seller's possession, even after the contract has been signed, is the Seller's sole and exclusive responsibility, and the Seller is obliged to compensate TAGUS and/or the Buyer for all damages and losses suffered.
Article 9 - Seller's responsibility for transportation
The transportation of goods for deposit at TAGUS facilities, as well as their subsequent collection and transportation in case of non-sale, is the sole responsibility of the Seller.
Article 10.º - Sale of goods subject to special regime – Assay Office and CITES
1. Goods made up of precious metals offered for sale by TAGUS comply with the provisions of the Legal Regime for Goldsmiths and Assay Offices (RJOC), approved by Law no. 98/2015, of 18 August, amended by Decree-Law no. 120/2017, of September 15, and other applicable legislation, and must be duly contrasted whenever legally required.
2. The Seller is responsible for presenting the goods made of precious metals duly hallmarked by Imprensa Nacional-Casa da Moeda, SA (INCM), before being put up for auction, whenever this is required by law.
3. Goods incorporating materials from protected wild fauna and flora species, offered for sale by TAGUS, must be previously certified in accordance with the provisions of the Convention on International Trade in Endangered Species of Wild Fauna and Flora (CITES) , ratified by Portugal in 1980, and Decree-Law No. 121/2017, of September 20, which establishes its application in the national territory, adapting it to the changes in Regulations (EC) No. 338/97 and 865/2006.
4. It is the responsibility of the Seller of goods that incorporate materials from protected wild fauna and flora species, such as ivory, turtle or coral, among others, to present the respective certificate issued by the Institute for the Conservation of Nature and Forests (ICNF), before its placement at auction, whenever required by law.
5. If agreed between the Seller and TAGUS, the latter may handle the procedures with INCM and/or ICNF, depending on the case, with the Seller committing to deliver and sign the necessary documents, as well as pay TAGUS the corresponding expenses in accordance with the price list in force.
Article 11 - Organization of batches
TAGUS is responsible for organizing the list of lots for sale at auction, with photographic images and their respective base value, with each lot being able to include one or more of the Seller's assets.
Article 12 - Sales account
1. The sales bill is sent by TAGUS to the Seller and summarizes the results of the lots sold at auction.
2. The Seller authorizes TAGUS to deduct from the sales value of the lots:
a) The sales commission due to you under the terms of the contract, plus VAT at the legal rate;
b) The amount of services and other expenses provided for in the contract, plus VAT at the legal rate.
3. If the lot is not sold, at the end of the contract, TAGUS will only charge the Seller for the amount of services and other expenses provided for therein.
Article 13 - Compensation
If the Seller owes TAGUS any amount as Buyer of other goods, he expressly authorizes TAGUS to deduct that amount from the sales account, thereby offsetting existing credits.
Article 14 - Settlement of the sales account
1. In the case of sale of the lot(s), TAGUS will pay the sales bill to the Seller, monthly, between the 25th and 30th of each month.
2. If the Buyer does not pay for the lot within the established deadline, payment of the sales bill to the Seller will take place within 5 (five) business days from the date on which that amount is actually received by TAGUS.
3. In case of non-compliance by the Buyer, TAGUS must decide together with the Seller what is the most appropriate course of action to obtain payment from the Buyer.
4. If, in the specific case, it is not possible for TAGUS to obtain instructions from the Seller regarding the conduct to be adopted, the Seller expressly authorizes TAGUS to seek to agree special conditions for payment of the amount owed, remove, store or insure the lot sold, resolve retentions formulated by or against the Buyer under the terms it deems most convenient for the collection of amounts owed by the Buyer to the Seller and, if necessary, proceed with the termination of the contract, return amounts to the Buyer or adopt any of the measures provided for in Article 29.
Article 15 - Original work of art. Resale right
1. If the item sold constitutes an original work of art, the author of the work, other than the Seller, has the right, under the terms of article 54 of the Code of Copyright and Related Rights (as amended) given by Law No. 92/2019, of September 4), to a participation on the value obtained from the sale, free of taxes.
2. In this case, the payment of the participation is the responsibility of the Seller of the original work of art, who undertakes to retain such amount and deliver it to the author or, if applicable, to the author's heirs, at their request or of those who validly represent them.
3. If the author of the original work of art, his heirs or whoever validly represents them contacts TAGUS with a view to paying the participation referred to in this clause, TAGUS will provide information on the Seller's contact details and the terms under which processed the sale, so that the author can exercise his legal right to it.
Article 16 - Unsold goods
1. If a lot is not sold, and after payment of the respective sales bill, the Seller must choose, within 7 (seven) days after notification, to:
a) Accept the replacement of the unsold lot, in a subsequent auction that TAGUS may hold, with a minimum sales value of up to 30% below the base value; or
b) Collect the lot upon payment of the expenses due under the terms of the contract, without the right to any compensation or compensation due to the non-sale of the asset.
2. If Tagus considers that the unsold lot should be re-listed at auction for a minimum sales value greater than 30% below the base value, it must obtain prior authorization from the Seller.
3. After the third unsuccessful sale attempt under the terms of paragraph a) of the previous paragraph, Tagus may request the Seller to collect the unsold goods under the terms of article 17.
4. If the Seller remains silent after the notification provided for in paragraph 1, TAGUS will proceed in the order indicated therein, restoring the item for sale in subsequent auctions and, in the event of a third failed sale attempt, the Seller undertakes to proceed with the collection of the asset, terminating the contract signed with TAGUS.
Article 17 - Deadline for collecting unsold goods
If the Seller chooses to collect the unsold item, he must do so at TAGUS's premises, within 15 (fifteen) days from the date on which he communicated his decision to TAGUS.
Article 18 - Sale outside of auction
1. TAGUS reserves the right to sell a lot withdrawn from auction due to lack of bidding, for the agreed base value, at any time, until the item is actually collected by the Seller, unless the Seller expressly indicates in the contract that only intends to sell the good at auction.
2. For sales, under the terms of the previous paragraph, the sales conditions established in the contract apply.
Article 19 - Failure to meet the withdrawal deadline
1. After the period referred to in article 17 has elapsed without the good having been collected by the Seller, the title of possession over the good is considered inverted, for all legal purposes, with the Seller being responsible for loss or damage, including theft or theft, which may occur in the property, and from that date onwards neither TAGUS, nor its representatives, workers or collaborators can be held responsible for this eventuality.
2. The Seller will also be responsible for all expenses incurred in removing, storing or insuring the item, in accordance with the current price list.
Article 20. Exams and Expertise
1. TAGUS reserves the right, at any time, to carry out or have examinations and/or experts carried out on the property, to verify the respective description contained in the contract.
2. If such examinations or experts allow us to conclude that the contract is not materially correct, TAGUS may denounce or resolve it and, in the event that the Seller acted with intent or gross negligence in negotiating and concluding the contract , must compensate TAGUS for damages and losses suffered by it, including image damage if the sale of the good has already been publicized; TAGUS may also terminate the contract with immediate effect, in a well-founded manner, without the Seller being entitled to any compensation, in the event that such examinations or experts do not prove to be conclusive but, even so, TAGUS still has reasonable doubts about the material correction of the contract.
Article 21 - Seller's Default
In case of non-compliance by the Seller with its obligations arising from the contract, including, in particular, the obligation to make the goods available to TAGUS, the latter may notify the Seller to remedy the non-compliance within a reasonable and useful period, after which, if the situation If non-compliance persists, TAGUS will have the right to terminate the contract with immediate effect, and will also have the right to claim from the Seller, as a penalty clause, an amount corresponding to the commissions that would be owed by Seller and Buyer in the event of the sale of the good by the base value stipulated in the contract, plus any other amounts owed by the Seller under the contract and without prejudice to any excess damage.
III. CONDITIONS RELATING TO BUYERS
Article 22 - Online registration
1. To be able to register on the TAGUS website - https://tagusart.com - and bid in the auctions, the potential Buyer must be of legal age and must fill in the fields relating to their name, address, tax identification number, telephone number and email, and declare that you know and accept these Business Terms and Conditions.
2. The password and other means of authentication defined when registering on the TAGUS website must be kept confidential by the user, with the user being responsible for any unauthorized access to their account.
3. TAGUS reserves the right to suspend or cancel the registration, or ignore any bid, of anyone who has not fulfilled their obligations in previous auctions, namely payment and collection of purchased lots, or anyone who has provided false information or incorrect.
4. Cancellation of registration can be done at any time by the user, by sending an email to [email protected].
Article 23 - Proof of identification
TAGUS may request, at any time, the presentation of a valid and current identification document to the potential Buyer.
Article 24 - Guarantee requirement
TAGUS also reserves the right, upon registration or at a later date, to request any potential Buyer to present a guarantee that TAGUS considers reasonable, both in terms of form and amount.
Article 25 - Tenders. Purchase
1. Bids equal to or greater than the base value of each lot are accepted.
2. Online bids for a given lot are automatically executed by TAGUS at the best value allowed by any other online bids eventually received for the same lot.

4. If there are bids of the same value on the different platforms, the bid submitted on the TAGUS platform prevails, and TAGUS is responsible for deciding in case of doubt.
5. Online bids received and accepted by TAGUS are confidential.
6. The potential Buyer accepts that their bids on the TAGUS website, once accepted, are final and cannot, by any means, be canceled or revoked, and TAGUS is not responsible for any errors or errors that occur in the online bid due to part of the Buyer.
7. The Buyer will be the one who bids and purchases the lot at the highest price, without prejudice to the possibility of exercising preference or option by official entities, in accordance with current legislation.
8. In the case of a timed sequential auction, whenever bids take place during the last 2 minutes prior to the closing time of the auction for a lot under bidding, an additional 2 minutes will be added to the closing time of the auction for that same lot and so on. successively. The auction will end when no one else bids.
Article 26 - Maximum offers
1. The maximum offers registered by bidders are not disclosed by TAGUS.
2. The maximum registered offers are managed by the TAGUS website, meaning that the value of the lot will be automatically increased by the system, as long as there is another bid or maximum offer placed later.
3. Bidders who place maximum bids will be bidding the base bid value (if there are no bids yet) or the value of the next bid presented for the lot, with the value of that bid being subject to other value(s). ) of any maximum offers previously registered.
Article 27 - Payment. Purchase commission
1. The Buyer undertakes to pay TAGUS the total amount due for the purchase of the lot, that is, the value of the respective sale and the following purchase commission on this value, plus VAT at the legal rate, if the same is due :
a) On the TAGUS website (Live Auctions platform) - 20%;
b) On the Drouot website - 24%;
c) On the Invaluable website - 26%;
d) On the Bidspirit website - 22%.
2. Payment must be made within 5 (five) working days from the day following the auction closing date, and can be made via cash, ATM, bank transfer or check, in accordance with current legislation.
3. The lot is available to the Buyer for collection after confirmation that TAGUS has successfully collected the total amount due.
4. Ownership of the good is transferred to the Buyer after payment to TAGUS of the total amount due for the purchase of the lot and collection of the good/or the end of the period for this purpose. Until ownership is transferred, the item remains the property of the Seller.
Article 28 - Lifting and transport. Buyer's responsibility for the lot purchased
1. The collection and transportation of the purchased lot is the sole responsibility of the Buyer, without prejudice to any indication by TAGUS of company(ies) providing this service, which excludes any responsibility for the fact that TAGUS, its representatives, workers or collaborators.
2. The Buyer must collect the purchased lot within 5 (five) working days from the closing date of the auction, and after payment of the total amount owed.
3. Any loss or damage to the purchased lot, including theft or theft, which occurs during the period for collection, only gives the Buyer the right to receive an amount equal to that paid up to that time for the lot, without the right to compensation or interest.
Article 29 - Buyer's Default. Non-payment or non-collection of purchased lots
1. If the Buyer does not comply with the conditions and deadlines for payment and/or collection of the purchased lots, provided for in articles 27 and 28, TAGUS, on its own and/or on behalf of the Seller, may adopt one or more of the following measures:
a) Invoke the right of retention over one or all lots sold to the Buyer at the auction in question, or another auction, until the obligation assumed is fulfilled;
b) Reject any bid made by the Buyer in subsequent auctions;
c) Take legal action against the Buyer with a view to being compensated for losses resulting from non-compliance.
2. In addition to the provisions of paragraph 1, in case of non-payment for the purchased lot, TAGUS may:
a) Charge default interest, at the legal rate applicable to commercial transactions, on the total amount owed until its actual receipt;
b) Cancel the sale and resell at auction or outside of auction, the lot not paid for by the Buyer, without prejudice to the collection of any amount that remains owed by the defaulting Buyer and without the latter being able to object or ask for compensation.
3. In addition to the provisions of paragraph 1, if the purchased lot is not collected, TAGUS may charge the costs of removing, storing and insuring it, under the terms of the price list in force.
4. In the case provided for in the previous paragraph, the Buyer is also responsible for loss or damage of any nature, including theft or theft, of the lot purchased and not collected.
5. After 60 (sixty) days have passed after payment for the lot and the Buyer has not collected it, the Buyer authorizes, expressly and without reservation, that TAGUS proceed with the sale of the same to reimburse all costs incurred. If there is a positive balance from the sale of the lot, it will be paid to the Buyer.
6. TAGUS keeps the Seller informed about the measures adopted in relation to the Buyer and, if the specific measure requires intervention from the Seller, the Seller must mandate TAGUS to do whatever is necessary or convenient.
7. Whenever TAGUS manages to collect, judicially or extrajudicially, the credit owed to the Buyer, it will deliver the amount due to the Seller within 5 (five) business days following the effective collection.
Article 30 - Description, state of conservation and authenticity of goods
1. Buyers accept the goods in the state of conservation in which they are found at the date of the auction, and potential Buyers are responsible for personally confirming at TAGUS facilities, through observation of the lot, the accuracy of the description contained in the catalogue, particularly with regard to concerns any restorations, shortages or defects mentioned.
2. In the case of goods that include electrical mechanisms or components, TAGUS will include in the batch description in the catalog information about their operating status, without however being responsible for their proper functioning.
3. If there is a relevant discrepancy between the description and the reality of the item at the time of acquisition - which implies a significant change in the value of the item -, or if any item constitutes a deliberate forgery, it may be returned by the Buyer to TAGUS at period of 2 (two) years from the date of purchase, in the same condition as it was at the date of the auction, accompanied by a report signed by an expert recognized in the national or international market, relating to the defects or falsifications identified in the good, of the lot number and the date of the auction at which it was sold.
4. TAGUS may contrast the expert opinion presented by the Buyer with another of equivalent value, in which case the dispute will be decided through consultation with a third expert, chosen by both parties.
5. If TAGUS considers that the Buyer is right, the purchase and sale will be canceled and the total amount paid to TAGUS will be returned, without the Seller being able to object.
6. If the provisions of the previous paragraph are met and payment of the sales bill has already occurred, the Seller must refund to TAGUS the amount received from the sale of the good.
7. The provisions of this article apply exclusively to the original Buyer, that is, the one who purchased the item at auction, and are restricted to the total amount paid for the purchase, and cannot claim any loss, injury or damage suffered or expense incurred.
Article 31 - Lack of the right to free resolution
The online Buyer acknowledges that having made a purchase at auction does not benefit from the right to freely terminate the contract, provided for in the legislation that regulates contracts concluded remotely.
Article 32 - Third-party claims
TAGUS is not responsible to the Buyer for any asset that, due to a fact attributable to the Seller or a third party, becomes the subject of complaints or claims from third parties, including seizure, by the competent authorities, regardless of the date on which it was determined or carried out. the respective claim, demand or seizure, and the nature or amount of any damages, losses or damages that may result from this fact to the Buyer, which must be claimed by the Buyer directly from the Seller or the third party causing it.
Article 33 - Restrictions on transmission, export and similar
1. TAGUS is also not responsible to the Buyer for any property that is prevented from leaving the country or subject to any other burden, charge or restriction determined by administrative or judicial entities, including under cultural heritage protection legislation. .
2. It is the Buyer's responsibility to inform itself (and, if applicable, obtain) about any (i) licenses and other formalities or restrictions on exports, from Portugal to the Buyer's intended country of destination; and (ii) licenses and other formalities or import restrictions in the Buyer's intended country of destination.
Article 34 - Limitation of liability
Except in the case of fraud and without prejudice to legally obligatory insurance, TAGUS's possible liability to the Buyer is, in any case, limited to the amount actually paid by the Buyer for the acquisition of the lot.
IV. FINAL DISPOSITIONS
Article 35 - Rights over photographs and publications
The Seller and the Buyer expressly authorize TAGUS to photograph, publish and use, at any time and in any form, the image and description of the goods that have been put up for auction through it.
Article 36 - Communications
TAGUS communications addressed to Sellers, bidders or Buyers are made by email, telephone or post. If sent by registered mail, they are considered received 3 (three) days after dispatch.
Article 37 - Amendments
These Business Terms and Conditions may be amended by TAGUS, without retroactive application.
Article 38 - Competent forum
For the resolution of any dispute between the parties arising from the Contract and these Business Terms and Conditions, the Lisbon District Court will have exclusive jurisdiction.
Article 39 - Arbitration
In accordance with the provisions of Law No. 144/2015, of September 8, the consumer is informed that, in the event of a dispute, he or she can resort to the Lisbon Consumer Conflict Arbitration Center, located at Rua dos Douradores, 116 – 2.º, 1100-207 Lisboa, available at https://https://centroarbitragemlisboa.pt.
