1. Condizioni Generali. Le presenti condizioni generali di vendita (di seguito le “Condizioni Generali“) disciplinano il rapporto tra il venditore e l’acquirente dei beni venduti da Fondaco Aste di Umberto Savoia, con sede a Milano in via Pietro Custodi 3, P. Iva 11019160966, n. REA MI – 2575111 (d’ora in poi “Fondaco Aste“) in qualità di mandatario con rappresentanza del venditore.
2. Mandato con rappresentanza. Fondaco Aste agisce in qualità di mandataria con rappresentanza di ciascun venditore, ai sensi e per gli effetti dell’art. 1704 c.c.; la vendita conclusa da Fondaco Aste in esecuzione del mandato di vendita produrrà i suoi effetti direttamente tra venditore e terzo acquirente. Ogni vicenda modificativa, estintiva o risolutiva del contratto di vendita dei beni oggetto del mandato, ivi incluse le eventuali conseguenze in tema di ripetizione dell’indebito e risarcimento dei danni, avrà effetti esclusivamente nei confronti del venditore. Pertanto, in caso di inefficacia, annullamento, nullità, rescissione e risoluzione, Fondaco Aste non assumerà altre responsabilità eccetto quelle derivanti alla propria qualità di mandataria.
3. Iscrizione. Tutti i partecipanti all’asta sono tenuti a iscriversi alternativamente: i) richiedendo il “numero di sala”, che verrà consegnato dal personale di Fondaco Aste prima della vendita, previa compilazione da parte dell’interessato del Modulo di Registrazione in cui saranno richieste le generalità, l’indirizzo, i contatti telefonici/mail, e l’esibizione di un documento di identità in corso di validità. Fondaco Aste si riserva, a sua discrezione, di non accettare la partecipazione in sala a persone non benevise; ii) registrandosi sui portali indicati nel catalogo di ciascuna vendita. Fondaco Aste si avvale di portali di terzi per permettere ai potenziali acquirenti di partecipare alle aste. Fondaco Aste non assume alcuna responsabilità in caso di malfunzionamento delle stesse a causa, a titolo esemplificativo ma non esaustivo, di ritardi dovuti alla connessione internet o guasti al server di appoggio nonché all’incompatibilità tra la piattaforma stessa e lo specifico device del potenziale acquirente. Si consiglia pertanto di concordare insieme a Fondaco Aste la modalità di partecipazione più idonea a ciascun interessato ponendo particolare attenzione ai possibili inconvenienti riscontrabili nella partecipazione online. La partecipazione via internet comporterà l’addebito delle eventuali commissioni previste da ciascun portale, in aggiunta a quelle previste dalle presenti Condizioni Generali. Le eventuali partecipazioni all’asta per conto di terzi devono essere richieste al momento dell’iscrizione ed espressamente approvate da Fondaco Aste.
4. Caratteristiche dei lotti e attività propedeutica alla vendita.
I lotti posti in vendita devono essere considerati quali beni usati ed in quanto tali non qualificabili come “prodotto” in ragione della definizione ex art. 3 lett. E) del Codice del consumo (D.Lgs. 09/2005 n. 206). Ogni vendita sarà preceduta da un’esposizione in cui ciascun potenziale acquirente potrà esaminare i lotti e verificare l’autenticità, l’attribuzione, lo stato di conservazione, la provenienza, il tipo e la qualità degli oggetti. Il personale di Fondaco Aste sarà a disposizione per illustrare ciascun lotto e chiarire eventuali errori riportati in catalogo. Qualora la visione dal vero dei lotti non sia attuabile, è possibile richiedere un “condition report” di ciascuno di essi in cui, oltre alla descrizione del relativo stato di conservazione, verranno inviate immagini supplementari rispetto a quelle pubblicate in catalogo in modo da agevolare il più possibile l’esame degli oggetti. I clienti interessati pertanto si impegnano a esaminare approfonditamente i lotti oggetto della vendita, anche con l’eventuale intervento di esperti o restauratori di fiducia al fine di accertare tutte le caratteristiche sopra descritte. I lotti verranno quindi venduti “come visti” nelle condizioni in cui versano al momento della vendita. Dopo l’asta Fondaco Aste o i venditori non potranno essere ritenuti responsabili per vizi relativi alle caratteristiche degli oggetti in asta.
5. Modalità di vendita. La procedura di vendita avviene per incanto. Fondaco Aste avrà facoltà di avvalersi di un banditore che conduce la vendita e aggiudica i lotti ai rispettivi aggiudicatari. Il banditore stabilisce la base d’asta e i rilanci minimi. Egli può, a suo insindacabile giudizio, ritirare un lotto, variare l’ordine dei lotti, abbinare o separare gli stessi, ovvero adottare qualsiasi provvedimento che ritenga opportuno al fine di preservare il corretto svolgimento della vendita. Nel caso di contestazioni in merito ad un’aggiudicazione, il lotto oggetto di contesa viene rimesso in vendita dal banditore sulla base dell’ultima offerta pervenuta. Il banditore può accettare commissioni di acquisto su preciso mandato conferito e formulare offerte per conto terzi. L’offerta pervenuta in sala ha sempre la precedenza sulle altre modalità di offerta previste dalle presenti Condizioni Generali. Qualora il venditore abbia formulato la richiesta di un prezzo di riserva (il prezzo al di sotto del quale, il venditore non è disposto a vendere), il banditore potrà i) non aggiudicare i lotti se non a raggiungimento del prezzo di riserva; ii) formulare offerte nell’interesse del venditore per il raggiungimento del prezzo di riserva. Le vendite sono effettuate al maggior offerente.
6. Commissioni di acquisto. Fondaco Aste potrà accettare, a sua discrezione, commissioni d’acquisto – sia scritte che telefoniche – con particolare riferimento ai potenziali acquirenti che non potranno presenziare alla vendita. Tali offerte dovranno pervenire in tempo utile alla rispettiva e corretta registrazione, ovvero, al più tardi, almeno 8 (otto) ore prima dell’orario previsto per la vendita. Le richieste di partecipazione telefonica saranno accettate solo se formulate per iscritto entro i termini sopra stabiliti. Qualora pervengano due o più offerte scritte di pari importo per il medesimo lotto prevarrà l’ordine temporale di ricezione. Fondaco Aste si impegna ad effettuare tutte le connessioni telefoniche e alla registrazione di tutte le offerte, ma non assume alcuna responsabilità in merito al mancato ottenimento di tali connessioni.
7. Diritti di asta. Al prezzo di aggiudicazione dovrà essere aggiunto un importo a titolo di diritti d’asta, calcolato in percentuale sul prezzo di aggiudicazione raggiunto, dal 25% (Venticinque percento) al 30% (Trenta percento) in ragione della modalità di partecipazione prescelta (le percentuali verranno specificate ad ogni Asta sia sulle piattaforme online che sugli eventuali cataloghi cartacei). Tali importi si intendono comprensivi di I.V.A. come previsto dalla normativa vigente. Qualsiasi altro onere o tributo relativo all’acquisto sarà in ogni caso a carico dell’aggiudicatario.
8. Pagamento del corrispettivo e dei diritti di asta. Il pagamento dei corrispettivi dovuti per aggiudicazione dei lotti, diritti di asta e commissioni di acquisto dovrà avvenire entro e non oltre dieci giorni dopo la vendita. In caso di mancato o parziale pagamento del totale dovuto Fondaco Aste si riserva il diritto di: (i) risolvere il contratto di vendita, ai sensi e per gli effetti dell’art. 1456 c.c., restituendo il lotto al mandante; (ii) agire in giudizio per la riscossione del totale dovuto da parte dell’aggiudicatario.
9. Prelazione del Ministero dei Beni Culturali. Fondaco Aste dichiarerà in catalogo quali sono i lotti sottoposti al regime di tutela previsto da parte del Ministero dei Beni Culturali ai sensi dell’art. 59 del D.Lgs. 42/2004. L’alienazione di tali opere è sottoposta alla condizione risolutiva dell’eventuale esercizio del diritto di prelazione da parte del Ministero dei Beni Culturali, entro 60 (sessanta) giorni dalla data di invio della relativa denuncia di alienazione da parte di Fondaco Aste alla competente Soprintendenza. In caso di esercizio del diritto di prelazione da parte del Ministero dei Beni Culturali, il contratto di vendita si risolverà e cesserà ogni effetto e l’aggiudicatario non potrà pretendere alcunché da parte di Fondaco Aste a titolo di indennizzo o rimborso, fatto salvo l’obbligo per il venditore e/o per Fondaco Aste di restituire i corrispettivi ricevuti per la vendita e i diritti di asta.
10. Ritiro dei lotti. Il ritiro dei lotti, dopo il pagamento secondo le modalità sopra descritte, dovrà avvenire immediatamente a cura e spese dell’aggiudicatario. Qualora questi lo richieda per iscritto, Fondaco Aste potrà effettuare i servizi di imballaggio e trasporto, a spese e rischio dell’aggiudicatario. Decorso il termine di dieci giorni dalla data della vendita Fondaco Aste sarà esonerata da qualsiasi responsabilità in merito alla custodia dei lotti. Fondaco Aste, su richiesta scritta dell’aggiudicatario, potrà contattare trasportatori specializzati in opere/oggetti d’arte e/o qualsiasi altro trasportatore su richiesta di questi, senza in ogni caso assumere qualsiasi responsabilità in merito al trasporto medesimo. In caso sia dovuta la prelazione al Ministero dei Beni Culturali in base a quanto previsto all’art. 9, il ritiro potrà avvenire esclusivamente qualora sia decorso il termine di 60 (sessanta) giorni dalla data di invio della relativa denuncia di alienazione da parte di Fondaco Aste o del venditore alla competente Soprintendenza.
11. Diritto di seguito. Qualora dovuto, il pagamento del c.d. “Diritto di seguito” (introdotto dal Decreto Legislativo 13 febbraio 2006, n. 118, attuativo della Direttiva 2001/84/CE) sarà a carico del Venditore, come disposto dall’art. 10 del D.Lgs. 118/2006.
12. Esportazione. L’esportazione di opere/oggetti aventi più di settant’anni al di fuori del territorio italiano è subordinata all’ottenimento dell’Attestato di Libera Circolazione da parte dell’Ufficio Esportazione della competente Soprintendenza, come disposto dal D.Lgs 42/2004, nonché dalle vigenti leggi doganali e tributarie. L’esportazione al di fuori della Comunità Europea è assoggettata alle disposizioni contenute nel Regolamento CEE 116/2009. Fondaco Aste non è responsabile del diniego/ritardo all’emissione del suddetto Attestato, né di qualsiasi altra autorizzazione all’esportazione dei lotti. Tutti i lotti contenenti o costituiti da parti di animali o piante (ad esempio corallo, avorio, tartaruga, ossa di balena) indipendentemente dall’epoca, dal valore e dall’ottenimento di un attestato o licenza di esportazione ex D.Lgs. 42/2004, potrebbero necessitare di una licenza o di un certificato prima dell’esportazione e/o di ulteriore documentazione per l’importazione in paesi Extra UE. Si precisa che l’ottenimento di una licenza o di un certificato di importazione non garantisce l’ottenimento di una licenza o di un certificato per l’esportazione e viceversa. Fondaco Aste consiglia ai potenziali acquirenti di verificare le legislazioni vigenti nei paesi di importazione circa i requisiti necessari per le importazioni nel proprio Paese di beni costituiti o contenenti specie protette prima di effettuare qualsiasi offerta. La mancata emissione delle suddette autorizzazioni non costituisce causa di annullamento/risoluzione dei relativi contratti di vendita, e/o del mancato pagamento dei lotti aggiudicati.
13. Garanzie. Le opere del XX e del XXI secolo sono vendute sulla base delle certificazioni di autenticità emesse dai rispettivi studiosi/archivi/fondazioni/comitati, riportate in catalogo. Nessuna altra documentazione potrà essere fatta valere a vendita avvenuta quale motivo di contestazione dell’autenticità di tali opere. Le attribuzioni di dipinti antichi e del XIX secolo proposte in catalogo sono state elaborate sulla base di opinioni, che possono essere eventualmente oggetto di revisione prima della vendita. Per tali opere pertanto viene garantita soltanto l’epoca in cui l’autore è vissuto e la scuola a cui è appartenuto.
14. Contestazioni per contraffazione. Qualora un lotto risulti, dopo la vendita all’asta, una contraffazione ovvero un oggetto falsificato ad arte, l’acquirente avrà l’obbligo di formulare la contestazione, a pena di decadenza, entro tre mesi dalla scoperta del vizio e in ogni caso non oltre cinque anni dalla data della vendita. Qualora Fondaco Aste decida, a proprio insindacabile giudizio, che la contestazione non è palesemente infondata, avrà facoltà di devolvere la controversia in ordine alla sussistenza o meno della contraffazione ad un collegio composto da un consulente autorevole di Fondaco Aste, uno di pari qualifica nominato dall’aggiudicatario e un terzo nominato di comune accordo dai due consulenti delle parti. Nel caso in cui, decorso un mese dalla nomina, il collegio concluda che la contraffazione sussiste e il venditore sia in grado di riconsegnare il lotto a sua cura e spese a Fondaco Aste, libero da qualsivoglia rivendicazione o pretesa da parte di terzi, nelle medesime condizioni in cui versava al momento della vendita, Fondaco Aste avrà facoltà di procedere, a sua discrezione, a comunicare al venditore l’intenzione dell’acquirente di procedere alla risoluzione dell’accordo di vendita. Fondaco Aste non procederà qualora: (i) la descrizione fornita dal catalogo di vendita sia conforme all’opinione generalmente accettata da studiosi/esperti alla data della vendita; (ii) la descrizione fornita dal catalogo di vendita indichi come controversa l’autenticità o l’attribuzione del lotto; (iii) alla data della pubblicazione del catalogo la contraffazione potesse essere verificata soltanto svolgendo analisi difficilmente praticabili, ovvero dal costo irragionevole, o che potessero danneggiare il lotto medesimo depauperandone il valore. Resta fermo che le eventuali conseguenze in tema di ripetizione dell’indebito e risarcimento dei danni, avranno effetti esclusivamente nei confronti del venditore, fatta eccezione per i corrispettivi per i diritti di asta e le eventuali commissioni di acquisto, la cui restituzione farà carico a Fondaco Aste.
15. Antiriciclaggio. Ai sensi e per gli effetti dell’art. 22 D.Lgs. n. 231/2007 (attuazione della direttiva 2005/60/CE concernente la prevenzione dell’utilizzo del sistema finanziario a scopo di riciclaggio dei proventi di attività criminose e di finanziamento del terrorismo nonché della direttiva 2006/70/CE che ne reca misure di esecuzione), i clienti si impegnano a fornire tutte le informazioni necessarie ed aggiornate per consentire a Fondaco Aste di adempiere agli obblighi di adeguata verifica della clientela.
16. Dati personali. I Dati Personali del cliente indicati nel modulo di registrazione o rilasciati anche successivamente, nonché acquisiti anche presso terzi (es.: partner, società di informazioni commerciali, ecc.) o nell’ambito della vendita sono raccolti e trattati da Fondaco Aste quale Titolare per le attività di competenza, nei termini descritti nell’Informativa Privacy allegata. L’Informativa allegata di cui al precedente comma è resa da Fondaco Aste ai sensi dell’art. 13 del Regolamento Generale sulla Protezione dei Dati n. 2016/679 ai fini della partecipazione alla procedura di asta ed alla fornitura dei relativi servizi, nonché a garantire che i Dati Personali siano lecitamente utilizzabili da Fondaco Aste a tali fini.
17. Efficacia delle Condizioni Generali. Le presenti Condizioni Generali devono intendersi accettate tacitamente e per fatti concludenti da tutti coloro che partecipano alla vendita, sia mandanti che potenziali acquirenti, indipendentemente dalle modalità di partecipazione. Esse saranno riportate su ciascun catalogo di vendita e affisse nelle sedi delle esposizioni e delle aste.
18. Legge applicabile e Foro competente. Le presenti Condizioni Generali sono disciplinate dalla legge italiana. Per qualsiasi controversia derivante o comunque relativa alla vendita o alle presenti Condizioni Generali è competente, in via esclusiva, il Foro di Milano.
1. General Conditions. These general conditions of sale (hereinafter the “General Conditions”) govern the relationship between the seller and the buyer of the goods sold by Fondaco Aste di Umberto Savoia, based in Milan in via Pietro Custodi 3, VAT no. IT11019160966, n. REA MI - 2575111 (hereinafter “Fondaco Aste”) as agent with representation of the seller.
2. Mandate with representation. Fondaco Aste acts as an agent with representation of each seller, pursuant to and for the purposes of art. 1704 c.c.; the sale concluded by Fondaco Aste in execution of the sales mandate will produce its effects directly between the seller and the third buyer. Any event that modifies, extinguishes or resolves the contract for the sale of the goods covered by the mandate, including any consequences regarding the repetition of the undue and compensation for damages, will have effects exclusively against the seller. Therefore, in the event of ineffectiveness, cancellation, nullity, termination, Fondaco Aste will not assume any other responsibility except those deriving from its role as agent.
3. Registration. All participants in the auction are required to register alternatively: i) by requesting the “room number”, which will be assigned by Fondaco Aste staff before the sale, after filling in the Registration Form by the interested party in which the general information, address, telephone / email contacts, and the presentation of a valid identity document. Fondaco Aste reserves, at its discretion, not to accept participation in the room by non-benevolent people; ii) by registering on the portals indicated in the catalog of each sale. Fondaco Aste uses third party portals to allow potential buyers to participate in auctions. Fondaco Aste does not assume any responsibility in the event of malfunctions of the same due to, as example but not limited to, delays due to internet connection or failures to the support server as well as the incompatibility between the platform itself and the specific device of the potential buyer. We therefore recommend that you arrange with Fondaco Aste on the most suitable method of participation for each interested party, with particular attention to the possible problems encountered in online participation. Participation via the internet will imply the charge of any commissions provided by each portal, in addition to those provided by these General Conditions. Any participation in the auction on behalf of third parties must be requested at the time of registration and expressly approved by Fondaco Aste.
4. Lot’s features and preparatory activities prior to the sale. The lots offered for sale must be considered as used goods and they cannot be classified as a “product” due to the definition pursuant to art. 3 lett. E) of the Consumer Code (D.Lgs. 09/2005 n. 206). Each sale will be preceded by an exhibition in which each potential buyer will be able to examine the lots and verify the authenticity, attribution, state of conservation, provenance, type and quality of the objects. Fondaco Aste staff will be available to illustrate each lot and clarify any errors reported in the catalog. If the viewing of the lots is not possible, potential buyers may request a “condition report” of each of them in which, in addition to the description of the relative state of conservation, additional images will be sent in addition to those published in the catalog in order to facilitate the examining objects as much as possible. The interested customers therefore undertake to thoroughly examine the lots being sold, even with the possible intervention of experts or trusted restorers in order to know all the characteristics described above. Then, all lots will be sold “as seen” in the conditions in which they are at the time of sale. After the auction, Fondaco Aste or the sellers cannot be held responsible for defects related to the characteristics of the objects in the auction.
5. Terms of sale. The sale procedure takes place by auction. Fondaco Aste will have the right to use an auctioneer who leads the sale and sell the lots to the respective bidders. The auctioneer establishes the auction starting price and the next bids. He may, at his discretion, withdraw a lot, change the order of the lots, combine or separate them, or take any measure that he considers appropriate in order to preserve the right carrying out of the sale. In the event of disputes regarding a lot, the one contested is put up for sale by the auctioneer on the basis of the last offer received. The auctioneer can accept purchase commissions on a specific mandate and make offers for third parties. The offer received in the room always takes precedence over the other offer methods provided for in these General Conditions. If the seller has fixed a reserve price (the price below which the seller is not willing to sell), the auctioneer may: i) not sell the lots unless the reserve price is reached; ii) make offers in the interest of the seller to reach the reserve price. The lots will be sold to the highest bidders.
6. Absentee bids. Fondaco Aste may accept, at its discretion, absentee bids - both written or by telephone - regarding with potential buyers who will not be able to attend the sale. These offers must arrive in time for correct registration by Fondaco Aste, or, at the latest, at least 8 (eight) hours before the time scheduled for sale. Telephone participation will be accepted only by written request respecting the terms set out above. If two or more written offers of the same amount are received for the same lot, the time order of receipt will prevail. Fondaco Aste undertakes to make all telephone connections and to register all offers, but does not assume any responsibility for errors or failure to obtain these connections.
7. Auction Rights. An amount as auction rights will be added to the hammer price, calculated as a percentage of the final hammer price, from 25% (Twenty-five percent) to 30% (Thirty percent) based on the chosen participation method (the percentages will be specified at each Auction both on the online platforms and in any paper catalogues). These amounts are inclusive of VAT as required by current legislation. Any other charge or tax relating to the purchase will in always be paid by the buyer.
8. Payment of the lots and the auction rights. The payment of the fees due for the lots, auction rights and purchase commissions must be made no later than ten days after the sale. In the event of non-payment or partial payment of the total amount due, Fondaco Aste reserves the right to: (i) terminate the sales contract, pursuant to and for the purposes of art. 1456 of the Italian Civil Code, returning the lot to the seller; (ii) begin legal action to obtain the total amount due by the buyer.
9. Pre-emption of the Ministero dei Beni Culturali.
Fondaco Aste will declare in the catalog which lots are subject to the rules provided for by the Ministero dei Beni Culturali pursuant to art. 59 of D.Lgs. 42/2004. The purchase of these works is subject to the resolutive condition of the possible exercise of the right of pre-emption by the Ministero dei Beni Culturali, within 60 (sixty) days from the date of sending the relative sale contract by Fondaco Aste to the Soprintendenza. In case of exercise of the right of pre-emption by the Ministero dei Beni Culturali, the sale contract will be terminated and will stop to have any effect and the buyer will not be able to claim anything from Fondaco Aste as compensation or reimbursement, without prejudice to the obligation for the seller and / or Fondaco Auctions to give back the amount received for the sale and the auction rights.
10. Pick up of the lots. The pick up of lots, after payment as described above, must take place immediately by the buyer. By written request, Fondaco Aste could carry out the packaging and transport services, at the expense and risk of the buyer. After ten days from the sale, Fondaco Aste will be released from any responsibility for the custody of the lots. Fondaco Aste, after a buyer’s written request, may contact shippers specialized in works / objects of art and / or any other shipper requested by the buyer, without in any case taking any responsibility for the transport. In the event of pre-emption to the Ministero dei Beni Culturali on the basis of everything explained in the previous article, the pick up may take place only if the deadline of 60 (sixty) days has elapsed from the date of sending the relative contract of purchase by Fondaco Aste or the seller to the Soprintendenza.
11. Resale right. If due, payment of c.d. “Droit de suite” (introduced by Decreto Legislativo 13 February 2006, n. 118, by the Direttiva 2001/84 / EC) will be paid by the seller, as provided by art. 10 of D.Lgs. 118/2006.
12. Export. The export of works / objects that are more than seventy years outside the Italian territory is subject to obtaining an Export License by the Soprintendenza, as provided in D.Lgs. 42/2004, as well as by current customs and tax laws. The export outside the European Community is subject to the rules contained in the Regolamento CEE 116/2009. Fondaco Aste is not responsible for the denial / delay in the release of that License, nor any other authorization. All lots consisting of or containing parts of animals or plants (for example coral, ivory, turtle, whalebone) of any age or value, regardless of obtaining an export license due by D.Lgs. 42/2004, They may require a further license or certificate prior to export and / or additional documentation for import into non-EU countries. It should be considered that obtaining a license or an import certificate does not guarantee obtaining a license or certificate for the export and vice versa. Fondaco Auctions recommends potential buyers to check the laws in force in the importing countries about the requirements for imports into their country of goods containing or made by protected species before making any offer. The non-issuance of these authorizations will not be able to cancel / terminate the related sales contracts, and / or non-payment of the lots purchased.
13. Guarantees. The works of the 20th and 21st centuries are sold on the basis of the certificates of authenticity issued by the respective experts / archives / foundations / committees, listed in the catalog. No other documentation can be used after the sale as a reason for contesting the authenticity of these works. The attributions of antique and 19th century paintings proposed in the catalog have been elaborated on the basis of opinions, which may possibly be subject to revision before the sale. For these works, therefore, only the period in which the author lived and the school to which he belonged is guaranteed.
14. Counterfeiting Disputes. If a lot will reveal itself a counterfeit or a falsified object after the auction, the buyer will have the obligation to formulate the dispute, as a deadline penalty, within three months from the discovery of the defect, and in any case not over five years from the date of sale. If Fondaco Aste decides, at its sole discretion, that the dispute is not manifestly unfounded, it will have the right to devolve the dispute regarding the existence or not of the counterfeiting to a board made up of an authoritative consultant of Fondaco Aste, one of the same qualification appointed by the buyer and a third party appointed together by the two consultants of the parties. In the event that, after one month from the appointment, the board concludes that the counterfeiting exists and the seller is able to return the lot at his care and expense to Fondaco Aste, free of any claim or claim by third parties, in the same conditions at the time of the sale, Fondaco Aste will have the right to proceed, at its discretion, to communicate to the seller the intention of the buyer to proceed with the termination of the sale agreement. Fondaco Aste will not proceed if: (i) the description provided in the sales catalog agrees with the opinion generally accepted by scholars / experts on the date of sale; (ii) the description provided in the sales catalog indicates the authenticity or attribution of the lot as controversial; (iii) at the date of publication of the catalog, the counterfeiting could only be verified by carrying out tests that were difficult to do, or with an unreasonable cost, or that could damage the lot itself by reducing its value. It remains understood that any consequences regarding the refund and compensation for damages, will have effects only on the seller, except for the fees for the auction rights and any purchase commissions, whose refund will be made by Fondaco Aste.
15. Anti-money-laundering. Pursuant to and for the purposes of the art. 22 D.Lgs no. 231/2007 (implementation of Directive 2005/60/CE concerning the prevention of the use of the financial system for the purpose of money laundering and terrorist financing as well as of Directive 2006/70/CE which contains implementing measures), customers undertake to provide all necessary and updated information to allow Fondaco Aste to fulfill its customer due diligence obligations.
16. Personal data. The customer’s personal data indicated in the registration form or released later, as well as also acquired from third parties (such as partners, commercial information companies, etc.) or in the sale process, are collected and processed by Fondaco Aste as holder for the activities of competence, in the terms described in the attached Privacy Policy. This Policy is made by Fondaco Aste pursuant to art. 13 of the General Data Protection Regulation n. 2016/679 to participate to the auctions and provide the related services, as well as ensuring that Personal Data are lawfully usable by Fondaco Aste for these purposes.
17. Effectiveness of the General Conditions.These General Conditions must be understood as tacitly accepted and for conclusive facts by all those who participate in the sale, both sellers and potential buyers, regardless of the way in which they participate. They will be reported on each sales catalog and posted in the exhibition and auction rooms.
18. Law and Jurisdiction. These General Conditions are governed by Italian law. For any controversy deriving from or in any case relating to the sale or to these General Conditions, the Court of Milan has exclusive jurisdiction.
1. Condizioni Generali. Le presenti condizioni generali di vendita (di seguito le “Condizioni Generali“) disciplinano il rapporto tra il venditore e l’acquirente dei beni venduti da Fondaco Aste di Umberto Savoia, con sede a Milano in via Pietro Custodi 3, P. Iva 11019160966, n. REA MI – 2575111 (d’ora in poi “Fondaco Aste“) in qualità di mandatario con rappresentanza del venditore.
2. Mandato con rappresentanza. Fondaco Aste agisce in qualità di mandataria con rappresentanza di ciascun venditore, ai sensi e per gli effetti dell’art. 1704 c.c.; la vendita conclusa da Fondaco Aste in esecuzione del mandato di vendita produrrà i suoi effetti direttamente tra venditore e terzo acquirente. Ogni vicenda modificativa, estintiva o risolutiva del contratto di vendita dei beni oggetto del mandato, ivi incluse le eventuali conseguenze in tema di ripetizione dell’indebito e risarcimento dei danni, avrà effetti esclusivamente nei confronti del venditore. Pertanto, in caso di inefficacia, annullamento, nullità, rescissione e risoluzione, Fondaco Aste non assumerà altre responsabilità eccetto quelle derivanti alla propria qualità di mandataria.
3. Iscrizione. Tutti i partecipanti all’asta sono tenuti a iscriversi alternativamente: i) richiedendo il “numero di sala”, che verrà consegnato dal personale di Fondaco Aste prima della vendita, previa compilazione da parte dell’interessato del Modulo di Registrazione in cui saranno richieste le generalità, l’indirizzo, i contatti telefonici/mail, e l’esibizione di un documento di identità in corso di validità. Fondaco Aste si riserva, a sua discrezione, di non accettare la partecipazione in sala a persone non benevise; ii) registrandosi sui portali indicati nel catalogo di ciascuna vendita. Fondaco Aste si avvale di portali di terzi per permettere ai potenziali acquirenti di partecipare alle aste. Fondaco Aste non assume alcuna responsabilità in caso di malfunzionamento delle stesse a causa, a titolo esemplificativo ma non esaustivo, di ritardi dovuti alla connessione internet o guasti al server di appoggio nonché all’incompatibilità tra la piattaforma stessa e lo specifico device del potenziale acquirente. Si consiglia pertanto di concordare insieme a Fondaco Aste la modalità di partecipazione più idonea a ciascun interessato ponendo particolare attenzione ai possibili inconvenienti riscontrabili nella partecipazione online. La partecipazione via internet comporterà l’addebito delle eventuali commissioni previste da ciascun portale, in aggiunta a quelle previste dalle presenti Condizioni Generali. Le eventuali partecipazioni all’asta per conto di terzi devono essere richieste al momento dell’iscrizione ed espressamente approvate da Fondaco Aste.
4. Caratteristiche dei lotti e attività propedeutica alla vendita.
I lotti posti in vendita devono essere considerati quali beni usati ed in quanto tali non qualificabili come “prodotto” in ragione della definizione ex art. 3 lett. E) del Codice del consumo (D.Lgs. 09/2005 n. 206). Ogni vendita sarà preceduta da un’esposizione in cui ciascun potenziale acquirente potrà esaminare i lotti e verificare l’autenticità, l’attribuzione, lo stato di conservazione, la provenienza, il tipo e la qualità degli oggetti. Il personale di Fondaco Aste sarà a disposizione per illustrare ciascun lotto e chiarire eventuali errori riportati in catalogo. Qualora la visione dal vero dei lotti non sia attuabile, è possibile richiedere un “condition report” di ciascuno di essi in cui, oltre alla descrizione del relativo stato di conservazione, verranno inviate immagini supplementari rispetto a quelle pubblicate in catalogo in modo da agevolare il più possibile l’esame degli oggetti. I clienti interessati pertanto si impegnano a esaminare approfonditamente i lotti oggetto della vendita, anche con l’eventuale intervento di esperti o restauratori di fiducia al fine di accertare tutte le caratteristiche sopra descritte. I lotti verranno quindi venduti “come visti” nelle condizioni in cui versano al momento della vendita. Dopo l’asta Fondaco Aste o i venditori non potranno essere ritenuti responsabili per vizi relativi alle caratteristiche degli oggetti in asta.
5. Modalità di vendita. La procedura di vendita avviene per incanto. Fondaco Aste avrà facoltà di avvalersi di un banditore che conduce la vendita e aggiudica i lotti ai rispettivi aggiudicatari. Il banditore stabilisce la base d’asta e i rilanci minimi. Egli può, a suo insindacabile giudizio, ritirare un lotto, variare l’ordine dei lotti, abbinare o separare gli stessi, ovvero adottare qualsiasi provvedimento che ritenga opportuno al fine di preservare il corretto svolgimento della vendita. Nel caso di contestazioni in merito ad un’aggiudicazione, il lotto oggetto di contesa viene rimesso in vendita dal banditore sulla base dell’ultima offerta pervenuta. Il banditore può accettare commissioni di acquisto su preciso mandato conferito e formulare offerte per conto terzi. L’offerta pervenuta in sala ha sempre la precedenza sulle altre modalità di offerta previste dalle presenti Condizioni Generali. Qualora il venditore abbia formulato la richiesta di un prezzo di riserva (il prezzo al di sotto del quale, il venditore non è disposto a vendere), il banditore potrà i) non aggiudicare i lotti se non a raggiungimento del prezzo di riserva; ii) formulare offerte nell’interesse del venditore per il raggiungimento del prezzo di riserva. Le vendite sono effettuate al maggior offerente.
6. Commissioni di acquisto. Fondaco Aste potrà accettare, a sua discrezione, commissioni d’acquisto – sia scritte che telefoniche – con particolare riferimento ai potenziali acquirenti che non potranno presenziare alla vendita. Tali offerte dovranno pervenire in tempo utile alla rispettiva e corretta registrazione, ovvero, al più tardi, almeno 8 (otto) ore prima dell’orario previsto per la vendita. Le richieste di partecipazione telefonica saranno accettate solo se formulate per iscritto entro i termini sopra stabiliti. Qualora pervengano due o più offerte scritte di pari importo per il medesimo lotto prevarrà l’ordine temporale di ricezione. Fondaco Aste si impegna ad effettuare tutte le connessioni telefoniche e alla registrazione di tutte le offerte, ma non assume alcuna responsabilità in merito al mancato ottenimento di tali connessioni.
7. Diritti di asta. Al prezzo di aggiudicazione dovrà essere aggiunto un importo a titolo di diritti d’asta, calcolato in percentuale sul prezzo di aggiudicazione raggiunto, dal 25% (Venticinque percento) al 30% (Trenta percento) in ragione della modalità di partecipazione prescelta (le percentuali verranno specificate ad ogni Asta sia sulle piattaforme online che sugli eventuali cataloghi cartacei). Tali importi si intendono comprensivi di I.V.A. come previsto dalla normativa vigente. Qualsiasi altro onere o tributo relativo all’acquisto sarà in ogni caso a carico dell’aggiudicatario.
8. Pagamento del corrispettivo e dei diritti di asta. Il pagamento dei corrispettivi dovuti per aggiudicazione dei lotti, diritti di asta e commissioni di acquisto dovrà avvenire entro e non oltre dieci giorni dopo la vendita. In caso di mancato o parziale pagamento del totale dovuto Fondaco Aste si riserva il diritto di: (i) risolvere il contratto di vendita, ai sensi e per gli effetti dell’art. 1456 c.c., restituendo il lotto al mandante; (ii) agire in giudizio per la riscossione del totale dovuto da parte dell’aggiudicatario.
9. Prelazione del Ministero dei Beni Culturali. Fondaco Aste dichiarerà in catalogo quali sono i lotti sottoposti al regime di tutela previsto da parte del Ministero dei Beni Culturali ai sensi dell’art. 59 del D.Lgs. 42/2004. L’alienazione di tali opere è sottoposta alla condizione risolutiva dell’eventuale esercizio del diritto di prelazione da parte del Ministero dei Beni Culturali, entro 60 (sessanta) giorni dalla data di invio della relativa denuncia di alienazione da parte di Fondaco Aste alla competente Soprintendenza. In caso di esercizio del diritto di prelazione da parte del Ministero dei Beni Culturali, il contratto di vendita si risolverà e cesserà ogni effetto e l’aggiudicatario non potrà pretendere alcunché da parte di Fondaco Aste a titolo di indennizzo o rimborso, fatto salvo l’obbligo per il venditore e/o per Fondaco Aste di restituire i corrispettivi ricevuti per la vendita e i diritti di asta.
10. Ritiro dei lotti. Il ritiro dei lotti, dopo il pagamento secondo le modalità sopra descritte, dovrà avvenire immediatamente a cura e spese dell’aggiudicatario. Qualora questi lo richieda per iscritto, Fondaco Aste potrà effettuare i servizi di imballaggio e trasporto, a spese e rischio dell’aggiudicatario. Decorso il termine di dieci giorni dalla data della vendita Fondaco Aste sarà esonerata da qualsiasi responsabilità in merito alla custodia dei lotti. Fondaco Aste, su richiesta scritta dell’aggiudicatario, potrà contattare trasportatori specializzati in opere/oggetti d’arte e/o qualsiasi altro trasportatore su richiesta di questi, senza in ogni caso assumere qualsiasi responsabilità in merito al trasporto medesimo. In caso sia dovuta la prelazione al Ministero dei Beni Culturali in base a quanto previsto all’art. 9, il ritiro potrà avvenire esclusivamente qualora sia decorso il termine di 60 (sessanta) giorni dalla data di invio della relativa denuncia di alienazione da parte di Fondaco Aste o del venditore alla competente Soprintendenza.
11. Diritto di seguito. Qualora dovuto, il pagamento del c.d. “Diritto di seguito” (introdotto dal Decreto Legislativo 13 febbraio 2006, n. 118, attuativo della Direttiva 2001/84/CE) sarà a carico del Venditore, come disposto dall’art. 10 del D.Lgs. 118/2006.
12. Esportazione. L’esportazione di opere/oggetti aventi più di settant’anni al di fuori del territorio italiano è subordinata all’ottenimento dell’Attestato di Libera Circolazione da parte dell’Ufficio Esportazione della competente Soprintendenza, come disposto dal D.Lgs 42/2004, nonché dalle vigenti leggi doganali e tributarie. L’esportazione al di fuori della Comunità Europea è assoggettata alle disposizioni contenute nel Regolamento CEE 116/2009. Fondaco Aste non è responsabile del diniego/ritardo all’emissione del suddetto Attestato, né di qualsiasi altra autorizzazione all’esportazione dei lotti. Tutti i lotti contenenti o costituiti da parti di animali o piante (ad esempio corallo, avorio, tartaruga, ossa di balena) indipendentemente dall’epoca, dal valore e dall’ottenimento di un attestato o licenza di esportazione ex D.Lgs. 42/2004, potrebbero necessitare di una licenza o di un certificato prima dell’esportazione e/o di ulteriore documentazione per l’importazione in paesi Extra UE. Si precisa che l’ottenimento di una licenza o di un certificato di importazione non garantisce l’ottenimento di una licenza o di un certificato per l’esportazione e viceversa. Fondaco Aste consiglia ai potenziali acquirenti di verificare le legislazioni vigenti nei paesi di importazione circa i requisiti necessari per le importazioni nel proprio Paese di beni costituiti o contenenti specie protette prima di effettuare qualsiasi offerta. La mancata emissione delle suddette autorizzazioni non costituisce causa di annullamento/risoluzione dei relativi contratti di vendita, e/o del mancato pagamento dei lotti aggiudicati.
13. Garanzie. Le opere del XX e del XXI secolo sono vendute sulla base delle certificazioni di autenticità emesse dai rispettivi studiosi/archivi/fondazioni/comitati, riportate in catalogo. Nessuna altra documentazione potrà essere fatta valere a vendita avvenuta quale motivo di contestazione dell’autenticità di tali opere. Le attribuzioni di dipinti antichi e del XIX secolo proposte in catalogo sono state elaborate sulla base di opinioni, che possono essere eventualmente oggetto di revisione prima della vendita. Per tali opere pertanto viene garantita soltanto l’epoca in cui l’autore è vissuto e la scuola a cui è appartenuto.
14. Contestazioni per contraffazione. Qualora un lotto risulti, dopo la vendita all’asta, una contraffazione ovvero un oggetto falsificato ad arte, l’acquirente avrà l’obbligo di formulare la contestazione, a pena di decadenza, entro tre mesi dalla scoperta del vizio e in ogni caso non oltre cinque anni dalla data della vendita. Qualora Fondaco Aste decida, a proprio insindacabile giudizio, che la contestazione non è palesemente infondata, avrà facoltà di devolvere la controversia in ordine alla sussistenza o meno della contraffazione ad un collegio composto da un consulente autorevole di Fondaco Aste, uno di pari qualifica nominato dall’aggiudicatario e un terzo nominato di comune accordo dai due consulenti delle parti. Nel caso in cui, decorso un mese dalla nomina, il collegio concluda che la contraffazione sussiste e il venditore sia in grado di riconsegnare il lotto a sua cura e spese a Fondaco Aste, libero da qualsivoglia rivendicazione o pretesa da parte di terzi, nelle medesime condizioni in cui versava al momento della vendita, Fondaco Aste avrà facoltà di procedere, a sua discrezione, a comunicare al venditore l’intenzione dell’acquirente di procedere alla risoluzione dell’accordo di vendita. Fondaco Aste non procederà qualora: (i) la descrizione fornita dal catalogo di vendita sia conforme all’opinione generalmente accettata da studiosi/esperti alla data della vendita; (ii) la descrizione fornita dal catalogo di vendita indichi come controversa l’autenticità o l’attribuzione del lotto; (iii) alla data della pubblicazione del catalogo la contraffazione potesse essere verificata soltanto svolgendo analisi difficilmente praticabili, ovvero dal costo irragionevole, o che potessero danneggiare il lotto medesimo depauperandone il valore. Resta fermo che le eventuali conseguenze in tema di ripetizione dell’indebito e risarcimento dei danni, avranno effetti esclusivamente nei confronti del venditore, fatta eccezione per i corrispettivi per i diritti di asta e le eventuali commissioni di acquisto, la cui restituzione farà carico a Fondaco Aste.
15. Antiriciclaggio. Ai sensi e per gli effetti dell’art. 22 D.Lgs. n. 231/2007 (attuazione della direttiva 2005/60/CE concernente la prevenzione dell’utilizzo del sistema finanziario a scopo di riciclaggio dei proventi di attività criminose e di finanziamento del terrorismo nonché della direttiva 2006/70/CE che ne reca misure di esecuzione), i clienti si impegnano a fornire tutte le informazioni necessarie ed aggiornate per consentire a Fondaco Aste di adempiere agli obblighi di adeguata verifica della clientela.
16. Dati personali. I Dati Personali del cliente indicati nel modulo di registrazione o rilasciati anche successivamente, nonché acquisiti anche presso terzi (es.: partner, società di informazioni commerciali, ecc.) o nell’ambito della vendita sono raccolti e trattati da Fondaco Aste quale Titolare per le attività di competenza, nei termini descritti nell’Informativa Privacy allegata. L’Informativa allegata di cui al precedente comma è resa da Fondaco Aste ai sensi dell’art. 13 del Regolamento Generale sulla Protezione dei Dati n. 2016/679 ai fini della partecipazione alla procedura di asta ed alla fornitura dei relativi servizi, nonché a garantire che i Dati Personali siano lecitamente utilizzabili da Fondaco Aste a tali fini.
17. Efficacia delle Condizioni Generali. Le presenti Condizioni Generali devono intendersi accettate tacitamente e per fatti concludenti da tutti coloro che partecipano alla vendita, sia mandanti che potenziali acquirenti, indipendentemente dalle modalità di partecipazione. Esse saranno riportate su ciascun catalogo di vendita e affisse nelle sedi delle esposizioni e delle aste.
18. Legge applicabile e Foro competente. Le presenti Condizioni Generali sono disciplinate dalla legge italiana. Per qualsiasi controversia derivante o comunque relativa alla vendita o alle presenti Condizioni Generali è competente, in via esclusiva, il Foro di Milano.
1. General Conditions. These general conditions of sale (hereinafter the “General Conditions”) govern the relationship between the seller and the buyer of the goods sold by Fondaco Aste di Umberto Savoia, based in Milan in via Pietro Custodi 3, VAT no. IT11019160966, n. REA MI - 2575111 (hereinafter “Fondaco Aste”) as agent with representation of the seller.
2. Mandate with representation. Fondaco Aste acts as an agent with representation of each seller, pursuant to and for the purposes of art. 1704 c.c.; the sale concluded by Fondaco Aste in execution of the sales mandate will produce its effects directly between the seller and the third buyer. Any event that modifies, extinguishes or resolves the contract for the sale of the goods covered by the mandate, including any consequences regarding the repetition of the undue and compensation for damages, will have effects exclusively against the seller. Therefore, in the event of ineffectiveness, cancellation, nullity, termination, Fondaco Aste will not assume any other responsibility except those deriving from its role as agent.
3. Registration. All participants in the auction are required to register alternatively: i) by requesting the “room number”, which will be assigned by Fondaco Aste staff before the sale, after filling in the Registration Form by the interested party in which the general information, address, telephone / email contacts, and the presentation of a valid identity document. Fondaco Aste reserves, at its discretion, not to accept participation in the room by non-benevolent people; ii) by registering on the portals indicated in the catalog of each sale. Fondaco Aste uses third party portals to allow potential buyers to participate in auctions. Fondaco Aste does not assume any responsibility in the event of malfunctions of the same due to, as example but not limited to, delays due to internet connection or failures to the support server as well as the incompatibility between the platform itself and the specific device of the potential buyer. We therefore recommend that you arrange with Fondaco Aste on the most suitable method of participation for each interested party, with particular attention to the possible problems encountered in online participation. Participation via the internet will imply the charge of any commissions provided by each portal, in addition to those provided by these General Conditions. Any participation in the auction on behalf of third parties must be requested at the time of registration and expressly approved by Fondaco Aste.
4. Lot’s features and preparatory activities prior to the sale. The lots offered for sale must be considered as used goods and they cannot be classified as a “product” due to the definition pursuant to art. 3 lett. E) of the Consumer Code (D.Lgs. 09/2005 n. 206). Each sale will be preceded by an exhibition in which each potential buyer will be able to examine the lots and verify the authenticity, attribution, state of conservation, provenance, type and quality of the objects. Fondaco Aste staff will be available to illustrate each lot and clarify any errors reported in the catalog. If the viewing of the lots is not possible, potential buyers may request a “condition report” of each of them in which, in addition to the description of the relative state of conservation, additional images will be sent in addition to those published in the catalog in order to facilitate the examining objects as much as possible. The interested customers therefore undertake to thoroughly examine the lots being sold, even with the possible intervention of experts or trusted restorers in order to know all the characteristics described above. Then, all lots will be sold “as seen” in the conditions in which they are at the time of sale. After the auction, Fondaco Aste or the sellers cannot be held responsible for defects related to the characteristics of the objects in the auction.
5. Terms of sale. The sale procedure takes place by auction. Fondaco Aste will have the right to use an auctioneer who leads the sale and sell the lots to the respective bidders. The auctioneer establishes the auction starting price and the next bids. He may, at his discretion, withdraw a lot, change the order of the lots, combine or separate them, or take any measure that he considers appropriate in order to preserve the right carrying out of the sale. In the event of disputes regarding a lot, the one contested is put up for sale by the auctioneer on the basis of the last offer received. The auctioneer can accept purchase commissions on a specific mandate and make offers for third parties. The offer received in the room always takes precedence over the other offer methods provided for in these General Conditions. If the seller has fixed a reserve price (the price below which the seller is not willing to sell), the auctioneer may: i) not sell the lots unless the reserve price is reached; ii) make offers in the interest of the seller to reach the reserve price. The lots will be sold to the highest bidders.
6. Absentee bids. Fondaco Aste may accept, at its discretion, absentee bids - both written or by telephone - regarding with potential buyers who will not be able to attend the sale. These offers must arrive in time for correct registration by Fondaco Aste, or, at the latest, at least 8 (eight) hours before the time scheduled for sale. Telephone participation will be accepted only by written request respecting the terms set out above. If two or more written offers of the same amount are received for the same lot, the time order of receipt will prevail. Fondaco Aste undertakes to make all telephone connections and to register all offers, but does not assume any responsibility for errors or failure to obtain these connections.
7. Auction Rights. An amount as auction rights will be added to the hammer price, calculated as a percentage of the final hammer price, from 25% (Twenty-five percent) to 30% (Thirty percent) based on the chosen participation method (the percentages will be specified at each Auction both on the online platforms and in any paper catalogues). These amounts are inclusive of VAT as required by current legislation. Any other charge or tax relating to the purchase will in always be paid by the buyer.
8. Payment of the lots and the auction rights. The payment of the fees due for the lots, auction rights and purchase commissions must be made no later than ten days after the sale. In the event of non-payment or partial payment of the total amount due, Fondaco Aste reserves the right to: (i) terminate the sales contract, pursuant to and for the purposes of art. 1456 of the Italian Civil Code, returning the lot to the seller; (ii) begin legal action to obtain the total amount due by the buyer.
9. Pre-emption of the Ministero dei Beni Culturali.
Fondaco Aste will declare in the catalog which lots are subject to the rules provided for by the Ministero dei Beni Culturali pursuant to art. 59 of D.Lgs. 42/2004. The purchase of these works is subject to the resolutive condition of the possible exercise of the right of pre-emption by the Ministero dei Beni Culturali, within 60 (sixty) days from the date of sending the relative sale contract by Fondaco Aste to the Soprintendenza. In case of exercise of the right of pre-emption by the Ministero dei Beni Culturali, the sale contract will be terminated and will stop to have any effect and the buyer will not be able to claim anything from Fondaco Aste as compensation or reimbursement, without prejudice to the obligation for the seller and / or Fondaco Auctions to give back the amount received for the sale and the auction rights.
10. Pick up of the lots. The pick up of lots, after payment as described above, must take place immediately by the buyer. By written request, Fondaco Aste could carry out the packaging and transport services, at the expense and risk of the buyer. After ten days from the sale, Fondaco Aste will be released from any responsibility for the custody of the lots. Fondaco Aste, after a buyer’s written request, may contact shippers specialized in works / objects of art and / or any other shipper requested by the buyer, without in any case taking any responsibility for the transport. In the event of pre-emption to the Ministero dei Beni Culturali on the basis of everything explained in the previous article, the pick up may take place only if the deadline of 60 (sixty) days has elapsed from the date of sending the relative contract of purchase by Fondaco Aste or the seller to the Soprintendenza.
11. Resale right. If due, payment of c.d. “Droit de suite” (introduced by Decreto Legislativo 13 February 2006, n. 118, by the Direttiva 2001/84 / EC) will be paid by the seller, as provided by art. 10 of D.Lgs. 118/2006.
12. Export. The export of works / objects that are more than seventy years outside the Italian territory is subject to obtaining an Export License by the Soprintendenza, as provided in D.Lgs. 42/2004, as well as by current customs and tax laws. The export outside the European Community is subject to the rules contained in the Regolamento CEE 116/2009. Fondaco Aste is not responsible for the denial / delay in the release of that License, nor any other authorization. All lots consisting of or containing parts of animals or plants (for example coral, ivory, turtle, whalebone) of any age or value, regardless of obtaining an export license due by D.Lgs. 42/2004, They may require a further license or certificate prior to export and / or additional documentation for import into non-EU countries. It should be considered that obtaining a license or an import certificate does not guarantee obtaining a license or certificate for the export and vice versa. Fondaco Auctions recommends potential buyers to check the laws in force in the importing countries about the requirements for imports into their country of goods containing or made by protected species before making any offer. The non-issuance of these authorizations will not be able to cancel / terminate the related sales contracts, and / or non-payment of the lots purchased.
13. Guarantees. The works of the 20th and 21st centuries are sold on the basis of the certificates of authenticity issued by the respective experts / archives / foundations / committees, listed in the catalog. No other documentation can be used after the sale as a reason for contesting the authenticity of these works. The attributions of antique and 19th century paintings proposed in the catalog have been elaborated on the basis of opinions, which may possibly be subject to revision before the sale. For these works, therefore, only the period in which the author lived and the school to which he belonged is guaranteed.
14. Counterfeiting Disputes. If a lot will reveal itself a counterfeit or a falsified object after the auction, the buyer will have the obligation to formulate the dispute, as a deadline penalty, within three months from the discovery of the defect, and in any case not over five years from the date of sale. If Fondaco Aste decides, at its sole discretion, that the dispute is not manifestly unfounded, it will have the right to devolve the dispute regarding the existence or not of the counterfeiting to a board made up of an authoritative consultant of Fondaco Aste, one of the same qualification appointed by the buyer and a third party appointed together by the two consultants of the parties. In the event that, after one month from the appointment, the board concludes that the counterfeiting exists and the seller is able to return the lot at his care and expense to Fondaco Aste, free of any claim or claim by third parties, in the same conditions at the time of the sale, Fondaco Aste will have the right to proceed, at its discretion, to communicate to the seller the intention of the buyer to proceed with the termination of the sale agreement. Fondaco Aste will not proceed if: (i) the description provided in the sales catalog agrees with the opinion generally accepted by scholars / experts on the date of sale; (ii) the description provided in the sales catalog indicates the authenticity or attribution of the lot as controversial; (iii) at the date of publication of the catalog, the counterfeiting could only be verified by carrying out tests that were difficult to do, or with an unreasonable cost, or that could damage the lot itself by reducing its value. It remains understood that any consequences regarding the refund and compensation for damages, will have effects only on the seller, except for the fees for the auction rights and any purchase commissions, whose refund will be made by Fondaco Aste.
15. Anti-money-laundering. Pursuant to and for the purposes of the art. 22 D.Lgs no. 231/2007 (implementation of Directive 2005/60/CE concerning the prevention of the use of the financial system for the purpose of money laundering and terrorist financing as well as of Directive 2006/70/CE which contains implementing measures), customers undertake to provide all necessary and updated information to allow Fondaco Aste to fulfill its customer due diligence obligations.
16. Personal data. The customer’s personal data indicated in the registration form or released later, as well as also acquired from third parties (such as partners, commercial information companies, etc.) or in the sale process, are collected and processed by Fondaco Aste as holder for the activities of competence, in the terms described in the attached Privacy Policy. This Policy is made by Fondaco Aste pursuant to art. 13 of the General Data Protection Regulation n. 2016/679 to participate to the auctions and provide the related services, as well as ensuring that Personal Data are lawfully usable by Fondaco Aste for these purposes.
17. Effectiveness of the General Conditions.These General Conditions must be understood as tacitly accepted and for conclusive facts by all those who participate in the sale, both sellers and potential buyers, regardless of the way in which they participate. They will be reported on each sales catalog and posted in the exhibition and auction rooms.
18. Law and Jurisdiction. These General Conditions are governed by Italian law. For any controversy deriving from or in any case relating to the sale or to these General Conditions, the Court of Milan has exclusive jurisdiction.
